中文摘要：	多元化战略自从上世纪五十年代安索夫首次提出，一直倍受国内外学者的关注。经过近半个世纪的理论探讨，已经形成了较为丰富的理论体系，国内外诸多学者已对多元化战略的各个方面，采用多种研究手段与方法，进行了深入的探讨。在企业公司治理的层面上，实施多元化战略的意义以及如何有效的实施多元化战略有着重要的价值。 作为公司治理的核心，董事会不仅仅承担着提升与监控企业战略管理的重任，更是连接企业与外部环境的桥梁，而且对于公司战略管理的事务的参与日渐上升，董事会的治理模式成为影响公司战略制定及实施的关键因素，如何科学合理的加强董事会的建设以及提升董事会职能，对于企业制定适合有效的战略目标具有重要的现实意义，并且对现代公司治理机制有着极其重要的价值。 然而，董事会的特征影响着董事会治理能力和战略管理水平。因此，积极良好的董事会特征是保障战略有效制定和实施的关键因素。本研究选取利用2005-2008年2190家沪深两地上市公司的经验数据作为研究样本，检验了董事会人口统计特征及异质性以及独立董事人口统计特征对于企业多元化战略选择的影响，结合实证研究结果，得出结论如下： 董事会成员的投资会计背景、银行资源背景、受教育程度异质性与多元化程度显著正相关；而董事会成员的核心职能背景、平均年龄以及年龄的异质性对企业多元化水平的提高起到了抑制作用。 从某种程度上来讲，企业多元化战略的选择的确受到不同文化体系的影响与干预，是企业最高管理者经历、背景以及所接受文化特征皆影响着其对多元化战略的选择，而且社会环境在推动企业选择多元化战略的过程中起着重要的促进作用。本研究希望对于指导现代企业科学、有效地选择并执行多元化战略，以及董事会的建设与完善和如何充分发挥董事会的咨询职能具有重要的启示和借鉴意义。
英文摘要：	Diversification strategy was first proposed by Ansoff in the 1950s. Since then, it has been the concern of scholars at home and abroad. After nearly half a century of theoretical discussions, a rather extensive theoretical system has been formed. Many scholars at home and abroad in all aspects of the diversification strategy have conducted in-depth discussion by using a variety of research approaches and methods. At the Corporate governance enterprise level, the significance of a diversified strategy and the effective implementation of diversification strategy play an important role. As the core of corporate governance, the Board undertakes not only the responsibility of improving the strategic management and monitoring of corporate, but also link the bridge enterprises and the external environment. The Board undertakes strategic management of the affairs of the company the increasing involvement of the Board's governance model will influence the company strategy a key factor in the development and implementation. How to strengthen the scientific and reasonable construction of the board of directors and enhance the function of the Board, effective for businesses to develop strategic goals for important practical significance, and modern corporate governance mechanisms on this very important value. However, the characteristics of the board affects the ability of board governance and strategic management level. Therefore, good characterized by an active board of directors of a good strategy for the effective protection of the key factors in the development and implementation. In this study, 2190 companies′ data from 2005 to 2008 in Shanghai and Shenzhen empirical selected as the research sample, test the board demographics and heterogeneity, and demographic characteristics of the independent directors of strategic choice for the impact of diversification. Combined with empirical findings, concluded as follows: Background of board members of the investment accounting, banking resources background, education level of heterogeneity and diversity was positively correlated; The core functions of the background, the average age and age of the heterogeneity of raising the level of diversification has played a inhibition. To some extent, the choice of corporate diversification strategy is actually received the impact of different cultural systems and intervention。The company top management experience, background and cultural identity are acceptable to influence the choice of its diversification strategy. Social environment in promoting the process of corporate diversification strategy selection plays an important role. This study hopes to guide the modern scientific enterprise, effectively select and implement diversification strategies; construction and improvement of the board of directors and advisory board to give full play to the functions of important inspiration and reference.
