中文摘要：	家族企业是世界上普遍存在的一种企业组织类型，对于缓解社会就业压力、改善社会福利水平方面具有现实意义。家族企业董事会治理是家族企业治理研究的主要方面之一，国内学术界也越来越重视对该领域的研究，但是大多数相关研究还仅仅停留在理论阶段，缺乏模型的建立和数据的支持。本文基于连锁董事网络理论，从社会网络分析的角度进行了中国上市家族企业董事会治理研究。 本文首先对与家族企业董事会治理和连锁董事相关的文献进行了梳理，为研究奠定良好的理论基础。接着分析了社会网络模型，选择合适的模型类型来建立家族企业连锁董事网络，选取了主要的网络特征作为分析指标，对其进行说明；同时，经过进一步理论分析，对家族企业董事会特征与企业绩效的关系建立相关假设；收集2002年至2009年的中国上市家族企业及其董事会相关数据进行结构化处理。基于收集到的数据，利用网络分析软件UCINET6.0绘制家族企业连锁董事网络图并进行相关网络指标分析，通过对历年网络图和指标数据的比较，对家族企业董事会和连锁董事网络进行演进研究，接着对家族企业和非家族企业的连锁董事网络特征进行比较分析，在对中国上市家族企业连锁董事网络进行了纵向和横向的比较后，本文继续通过相关性分析研究家族企业董事会特征是否与企业绩效相关。本文最后综合分析结果得出结论，同时也提及了文中的局限性和有待进一步研究的问题。 本文的创新点是：第一，本文将社会网络分析方法应用于中国上市家族企业董事会治理研究，为中国家族企业董事会治理开创了新的研究视角；第二，本文的研究数据涵盖了2002年至2009年整个时间段，基于该数据对家族企业连锁董事网络的整体网络和个体网络的演进过程分别进行了研究，得到了较为全面的分析结果；第三，本文引入非家族企业连锁董事网络进行对比分析，分析结果更全面、客观；第四，使用网络特征与企业绩效相关性研究作为家族企业连锁董事网络纵向与横向比较研究的补充，使研究结果更加完整。
英文摘要：	Family firm is a common type of company in the world, which is helpful to alleviating employment pressure and raising welfare standard. Board governance of family firms is the main research area of family firm governance，which has already drawn more and more domestic scholars’ interest. However, most of the current relevant research is mainly about theoretical study, lacking of models and data. Based on interlocking directorates network theory, this thesis studies on board governance of Chinese listed family firms from the perspective of social network analysis. Firstly, this thesis reviews the theories on board governance research of family firms, interlocking directorates and then makes comparative study on the current research results of domestic and foreign relevant study. Secondly, this thesis introduces the network model and explains the network’s analysis indicator. Then this thesis proposes four suppositions concerning the correlation between the characteristic of family firms’ board and performance. Thirdly, based on the gathered data, this thesis analyzes the evolution course of the interlocking directorates networks of Chinese listed family firms and compares the networks of family firms and non-family firms. After that, the thesis studies on the correlation between the characteristic of family firms’ board and firms’ performance. Finally, the thesis summarizes the results of this study and makes some conclusions and mentions the limitations of this study and areas for further study. The innovations of this thesis are as follows: We first use social network analysis method to study the interlocking directorates network of Chinese listed family firms. Then we use complete data from 2002 to 2009 to study the revolution course of family firms’ interlocking directorates network. Finally, we use comparative analysis method and empirical analysis method to make a more comprehensive research on family firms’ board in China.
