中文摘要：	私募股权投资基金，是指通过非公开发行的方式募集机构投资者或自然人的资金，向具有较高增长潜力的未上市企业进行股权投资或对上市公司非公开发行股份进行投资，并在一定条件下参与被投资企业的经营管理活动，以上市、管理层收购等股权转让方式实现投资的退出和增值。 私募股权投资基金最早起源于上世纪中期的美国，1958年美国国会颁布了《中小企业投资公司法案》，鼓励银行和银行控股公司投资于具有发展潜力的中小企业，开启了私募股权投资基金的正规化道路。70年代，美国的税收制度等相关规定的改善使本国的退休基金逐步投入到私募股权等领域，80年代资本市场的快速发展为美国私募股权投资基金的发展创造了条件。在同时期，私募股权投资基金开始在欧洲逐步产生并发展起来。进入新世纪后，私募股权投资基金在全球资本市场快速发展，成为继IPO、债券与银行贷款之后一种新型的重要融资方式。 本文旨在探讨如何将项目风险管理的理论、方法、技术和手段运用于私募股权投资基金项目管理，进而有效规避高风险，实现高收益。本文分析了私募股权投资基金的风险特征并介绍了私募股权投资基金的相关理论，重点是以私募股权投资基金的募集、投资、退出为线索，具体阐述私募股权投资基金项目风险识别与度量，并以此为基础分析私募股权投资基金项目风险应对与监控，通过具体案例的研究分析进一步检验本文的研究成果。
英文摘要：	Private equity fund has become a new financing tool presently, it is a certain stage of the inevitable outcome of a country or region’s development, and it will influence the country or region’s development of capital market and macroeconomic. Recently, Accompanied by rapid growth of national economic, social development and public and private wealth in economic, entity and capital market under huge investment demand, private equity funds get continual development, became our country finance high-profile hotspot. This thesis deals with discuss how to combine project risk management theory, methods, techniques and approaches apply to private equity funds, then effectively avoid high risk, to realize high returns. This thesis analyzes the characteristics of private equity fund risk and also introduces related theory of private equity fund, emphasis are with private equity fund raising funds, quit as a clue, expounds private equity funds project risk‘s recognition and measurement and based on that to analysis private-equity fund project risk’s response and monitoring, and study analysis result of this paper for further inspection through specific case.
