| 中文摘要: | 摘 要 煤炭是我国重要的基础能源和原料,在国民经济中具有重要的战略地位,对我国经济和社会发展发挥了重要的作用。改革开放以来,随着国民经济的快速增长,我国煤炭工业也取得了长足的进步,煤炭产量逐年递增,生产技术显著提升,安全生产形势稳步好转。但是,仍然存在结构不合理、增长方式粗放、安全事故多发、资源浪费严重等突出问题。 依照煤炭工业发展规划,“十一五”期间,煤炭工业将全面落实科学发展观,加快培育大型煤矿和企业集团,充分发挥大型煤矿企业理念、技术、管理和资金优势,提高煤炭产业集中度、产业水平和安全水平,促进煤炭产业结构优化升级。在党和国务院的大力支持下,2007年4月,我国最大的产煤省份山西省煤炭工业可持续发展政策措施试点工作正式启动,掀起了我国历史上煤炭企业间最大规模的并购整合工作。 阳泉煤业(集团)有限责任公司是我国特大型煤炭企业之一,其下属有四家上市公司。近年来,阳煤集团按照国家和山西省煤炭产业政策积极进行煤炭资源整合,通过对中小煤炭企业的并购,实现了企业规模的迅速扩张。论文通过分析阳煤集团在并购中小煤矿时面临的各种问题,提出了解决方法并进行总结,为其他国有大型煤炭企业并购中小煤炭企业提供了参考和借鉴。 本论文共分五个部分。第一章绪论,主要阐述本文的研究背景,并提出所要研究的问题,介绍本文的研究意义、研究方法和研究内容。第二章是相关理论研究综述,分别阐述了有关并购和整合的基本理论,以及煤炭并购理论研究现状,为下一步分析国有大型煤炭企业并购现状奠定理论基础。第三章是国有大型煤炭企业并购整合现状以及整合分析模型的构建,通过对我国煤炭企业并购历史回顾,阐述了国有大型煤炭企业并购中小煤炭企业的现状和动因,主要从企业组织、人力资源和文化等三个方面分析存在的问题,并在此基础上构建了整合分析模型。第四章,在国有大型煤炭企业并购中小煤矿后,结合作者所在单位阳煤集团并购中小煤炭企业实际,根据上述模型,从组织、人力资源和企业文化三个方面的整合进行了详细说明。第五章是总结和展望,通过对论文的总结,得出国有煤炭大型企业并购中小煤炭企业是煤炭行业可持续健康发展的必然途径,是企业做大做强实现规模收益的有效方式。 在企业并购后,只有通过对组织、人力资源和文化等方面的整合才能保障并购的成功。煤炭资源整合是一项复杂的系统工程,除了组织整合、人力资源整合和文化整合之外,还涉及到法律、股权等多方面的内容,需要继续在实践工作中总结学习。本论文通过对阳煤集团并购中小煤煤炭企业进行研究,对其他煤炭企业并购具有一定的借鉴意义。 关键词:国有大型煤炭企业 中小煤炭企业 并购 整合 | |
| 英文摘要: | Abstract Coal is an important basic energy and raw materials, in the national economy has an important strategic position, economic and social development in China has played an important role. Since reform and opening, with the rapid growth of the national economy, China's coal industry has made great progress, coal production has increased, significantly improved production technology, production safety situation is steadily improving. However, there are still irrational structure, growth pattern and multiple accidents, serious waste of resources and other outstanding issues. Development plan in accordance with the coal industry, "Eleventh Five-Year" period, the coal industry will fully implement the scientific concept of development, accelerate the development of large coal mines and enterprise groups, give full play to the concept of large coal mining enterprises, technology, management and capital to improve the coal industry concentration, industry standards and safety levels, and promote the optimization and upgrading the industrial structure of coal. Yangquan Coal Industry (Group) Co., Ltd. is one of China's large coal enterprises, and its subsidiaries have four listed companies.
