| 中文摘要: | 本文将治理人与经理人间的关系(即监督或合作关系)作为外生变量,以战略绩效出现负偏差这一特殊事件为背景,考察制度环境、主体特征对治理人行为与战略绩效的关系的影响。基于复杂适应系统理论,利用多智能体仿真模拟方法,将治理人、经理人、中层管理者分别视为三个智能体纳入一个系统,从动态过程视角模拟这些主体间复杂的交互作用,跟踪个体行为演化的全过程,观察演化过程中战略绩效的变化,从治理人可以识别、观测到的或者能够影响的制度环境层面挖掘出其具体行为的适用条件,以期为治理实践提供指导。 本文共分为七章。第1章为绪论,提出了文章所要研究的问题、研究内容与研究方法,并对文章所涉及到的重要概念进行了界定;第2章文献综述,围绕本研究涉及的管理控制、战略控制、治理层对战略的参与、治理层与管理层间的控制关系四个领域中的相关研究文献进行了系统的梳理,并从研究内容、研究理论基础与研究方法等方面进行了评述,进一步深化了文章的研究问题;第3章以治理人监督作为特定背景,从理论层面剖析治理人-战略绩效、治理人-经理人、经理人-中层管理者、中层管理者-战略绩效间的相互关系,并基于理论分析对各类智能体进行模型设计,包括智能体目标、行为规则等;第4章从单因素和多因素两个层次对仿真结果进行分析,考察不同制度环境下,治理人与经理人间的监督强度、经理人与中层管理者间的控制强度和公司实际战略绩效的动态演化过程,从治理人成本与收益、经理人操纵行为等角度对比分析,最终给出适合治理人监督的、易于其识别、观测的适用条件;与第3章和第4章相对应的,在第5章和第6章按照同样的逻辑,重点研究本文的第二个分支:以治理人合作作为特定背景,考察不同制度环境下,治理人与经理人间的合作强度、经理人与中层管理者间的控制强度和公司实际战略绩效的动态演化过程,确定适合治理人合作的、易于其识别、观测的适用条件;第7章总结文章的主要研究成果,并提出文章的研究不足和未来进一步研究的方向。 本研究存在的创新主要体现在以下三个方面: (1)在国内外相关研究领域,对公司治理和管理控制的研究尚还处于独立考察研究阶段。本研究以战略绩效出现负偏差为切入点,将公司治理、管理控制纳入一个框架,较早的考察公司治理与管理控制的交互作用关系。 (2)现有相关研究单纯考察某一主体(治理人或者经理人或者员工)的行为对战略绩效的影响,本研究突破了这种二维结构关系,将三层主体都纳入研究框架内,立足于个体间非线性交互作用影响关系,同时动态研究三者间交互行为的演化过程及其对战略绩效的影响。这对现有成果的静态研究范式、线性关系的研究假设等方面的局限性实现了突破,丰富了该领域的研究方法,实现了不同学科间的交叉。 (3)本研究从易于识别、可观测的制度层面,明确给出治理人与经理人监督与合作关系的适用条件,不仅丰富了相关的研究成果,而且便于治理人行为选择的决策,适应企业实践需求。 | |
| 英文摘要: | Setting the supervision or cooperative relationship between governor and manager as exogenous variables, this paper research the influence of institution condition and control subject characteristics on the relationship between governor’s behaviors and strategic performance, in the background of strategic performance negative deviation. According to complex adaptive system theory, governor, manager and department-manager are taken as a system and their interaction are considered, to simulate the evolution process of individual behavior and strategic performance. The applicable conditions of governor’s supervision and cooperation are unearthed, which can be identified, observed or can be affected by governor, in order to provide guidance for management practice. The paper includes seven chapters. The first chapter put forward the research question, the research content and method, and the key concepts definition involved in the paper; The second chapter review on the literatures, which involves the study of management control, strategic control and governor participating strategy, as well as relation between governor and manager. And these literatures are discussed from the research content, theoretical foundation and the research method to further deepen the research question. The third chapter includes theoretical analysis and developing multi-agent simulation model under the condition of governor’s supervision. Theoretical analysis expounds various relations between governor and strategic performance, governor and manager, manager and department manager, as well as department manager and strategic performance. Multi-agent simulation model involves intelligent body target, behavior rules; etc. In the fourth chapter, the simulation results are analyzed from single factor and multi-factor, and then the conclusions are obtained by comparative analysis of cost, benefit and manager’s manipulation behavior. Similar to the third chapter and the fourth chapter, theoretical analysis and developing model are conducted under the condition of governor’s cooperation in the fifth chapter, and the sixth chapter analyzes the corresponding simulation results and gets the conclusions. Finally, in the seventh chapter, the main research results are summarized, and then, we put forward the research weakness and further research direction. The main innovations of this paper as follows: (1) Corporate governance and management control are still studied independently in domestic and abroad. This study takes strategy control as the breakthrough point and considers corporate governance and management control into a framework, and earlier research interactive relationships between corporate governance and management control. (2) The present literatures simply examine influence of single subject’s (governor or managers or employees) behavior on strategic performance. Whereas, the two-dimensional structure relationships is breakthrough and three-layer bodies all are included in this study. Meanwhile, nonlinear interaction among individuals is considered, and then this study dynamically simulates the evolution process of the interaction among three-layer bodies and the influence of their interaction on strategic performance. So, some limitations of the existing research method, which is static research paradigm, linear relationship hypotheses, etc., are broke through, as is not only enriches the research method in this landscape, but also realizes the cross between different fields. (3) This study put forward the applicable conditions of governor’s supervision and cooperation, and moreover, these conditions can be identified, observed or can be affected by governor. This not only enriches the related research achievements, and adapts to the enterprise practice demands because of facilitating management decision-making behavior choice. | |
