中文摘要：	我国是当今世界上第一产煤大国，煤炭产量占世界的35%以上，同时还是世界煤炭消费量最大的国家，煤炭作为我国的主要能源和重要原料，在一次能源生产和消费构成中占一半以上，主要用于电力、冶金、化工和建材等行业，其中电力、冶金、化工和建材四大行业煤炭消费量约占总消费量的70%左右。改革开放以来，煤炭工业取得了长足发展。随着宏观经济的高速发展，煤炭产业政策的进一步出台，相关产业对煤炭需求的持续增长，以及融资渠道的畅通，为煤炭行业的持续健康发展提供了广阔的空间。但是由于一些突出问题的存在，也为煤炭行业的稳定发展带来挑战。比如资源浪费严重、结构不合理、安全事故多发、环境治理滞后等问题。 公司治理与企业的核心竞争力密切相关，已经引起了越来越多的学者和管理者的重视。在我国，公司治理起步较晚，与西方先进的治理文化和治理体系相比存在很大的差距。而对于煤炭行业这样的国家能源基础性产业来说，在公司治理方面的认识和实践更是不足。鉴于煤炭企业的特殊地位和公司治理的系统性，本人认为如何优化煤炭企业的公司治理机制，对于我国煤炭企业的可持续发展具有重要的意义。 本文通过理论研究与个案研究相结合的方法，先对公司治理的相关理论进行了梳理和回顾，进而比较研究了国际上两种主要的公司治理模式，在此基础上引出了我国的公司治理模式选择，重点阐述了煤炭行业在公司治理方面所具有的特殊性。接着，以伊泰集团这家上市公司为个案，具体的从股东会、董事会、监事会和经理层角度分析了其治理结构现状，评价了其治理状况及指出治理不足，并且给出了相应的对策建议。希望通过上述详细的分析和研究对于我国煤炭行业的治理实践具有一定的借鉴意义。
英文摘要：	Now, China is the world's first coal power, coal production accounts for more than 35% of the world, and is also the largest country in coal consumption. As China's primary energy and raw materials, coal accounts for more than half in primary energy production and consumption, and was mainly used in electric power, metallurgy, chemical and building material industries, among which electric power, metallurgy, chemical and building materials accounted for about 70% of the total consumption. Since reform and opening up, considerable progress has been made of the coal industry. With the rapid development of macroeconomic, the coal industry policy was further introduced, and the demand for coal was keep increasing in related industries, as well as the smooth of financing channel, which provided a vast space for sustainable and healthy development of coal industry. But due to the presence of some outstanding issues, which brings challenges to the stable development of the coal industry, such as irrational waste of resources, unreasonable structure, frequently occurred safety accidents, delayed environmental governance, and so on. Corporate governance, which is closely related to the enterprise's core competitiveness, has attracted more and more attention from scholars and managers. Compared with the advanced Western countries, the company governance in China started relatively late and was left behind. In coal industries, which is the national energy Foundation industries, the understanding and practice of corporate governance is inadequate. Regard to the special status of coal enterprise and the systematization of corporate governance, the optimization of corporate governance mechanism of coal enterprise has great significance in the sustainable development of coal enterprises in China. Through a combination of theoretical research and case studies, this article first reviewed the related theories on corporate governance, then compared the two main modes of corporate governance in the world. On this basis, this article introduced the model selection of corporate governance in China, focus on the particularity of corporate governance in area of coal industry. Next, this article take Yi Tai group a listed company as a case, analyzed the current governance structure specifically from the view of shareholders ' meeting, the Board of Directors, Board of supervisors and managers, evaluated the governance of Yi Tai group and noted the inadequacies, also provided the appropriate countermeasures. Hope the above detailed analysis and research can played certain reference in the corporate governance of China's coal industry.
