| 中文摘要: | 随着国有上市公司在我国社会和经济中的地位不断攀升,国有控股上市公司企业经营者的地位与价值越来越受到社会的关注,现代企业经营者的社会地位和在企业中起到的作用更为显著。我国的上市公司在企业经营者的激励上更为丰富灵活,形式也多种多样,但是机制却比一般员工的激励更加复杂多样,不论是在横向型还是纵向性上,都有它自身的特点,充分的物质激励当然是必要的,同时满足更高层次需要的精神激励也是不可缺少的。通过对我国国有控股上市公司在其企业经营者激励机制方面的研究,这使得我们可以建立并改善国有控股上市公司企业制度,对于帮助我们提高企业经济效益具有现实的理论意义,使得企业和个人都更具有成长性。 国外研究经营者激励制度已有70多年的历史,在实践过程中也逐渐形成了比较成熟的做法。但由于国情的不同,国外的做法对于我国来说还有个适应性问题,因而更多的是借鉴作用。我国现在实行的相关激励制度,无论是从理论分析的角度还是从实证的结果来看,都还有不少弊处和缺陷,激励效果不理想甚至没有激励效果。本文是在分析以上问题的基础上,综合考察和学习国内外已有的研究成果,补充和完善我国国有控股上市公司的激励制度,旨在提高经营者激励的有效性,增强经营者激励机制的功能。 本文共分七章,第一章,主要阐述了本文研究的重要意义和相关内容,强调了研究国有控股上市企业激励机制对我国企业发展进程的现实意义。第二章,对激励机制的研究水平和一般理论进行了探讨,阐述了国内外相关经营者激励理论的研究成果,对激励的相关概念进行了解释和描述。第三章,介绍国外的上市公司经营者激励模式,如美国模式和日本模式,也把我国现有激励模式与其对比分析。第四章,对我国上市公司经营者激励的现状进行了讨论,介绍了我国上市公司经营者激励主要包含收入激励、股权激励和精神激励等。通过之前的对比介绍,发现我国上市公司经营者激励机制存在的一些问题,并进一步地分析其出现问题的原因。第五章,在分析了经营者激励机制出现问题的原因后,针对问题原因提出相关的改进和完善意见,优化激励机制结构,对提高企业经营效果,保护股东权益,促进现代企业制度的完善都有重要的意义。第六章,对泰达股份有限公司的激励机制现状的分析,得到该公司在经营者激励方面取得的效果、及其自身优势,并给出一些建议,对研究现行的国有控股上市公司激励制度起到了实践和指导意义。第七章,结论与展望,对全文进行了总结和归纳。 本文主要是对针对现行的经营者激励机制进行分析和研究,按照“需要与激励-激励机制模式-激励机制问题-激励机制完善”的主线展开理论分析、案例分析,给出一些对策和建议。 | |
| 英文摘要: | Today the state-owned listed enterprises are more and more important in China's social and economic status, the state-owned listed enterprise's business status and value is paid more and more social attention, which is decided by the entrepreneur's special status and role in the modern enterprise. The incentive of the listed enterprise's executives is a multifaceted and hierarchical, different than the incentive of the general staff, with more content, more diversification and more complex system .The adequate material incentives, of course is necessary, meanwhile to meet the spiritual needs of a higher level of motivation is also indispensable. The incentive problem has been researched in recent years, many studies such as the relevant annual salary of entrepreneurs, equity incentive system, stock options of the system .China's reform should research the encouragement mechanism by motivation theory and methods of scientific guidance. The study on the executives’ incentive mechanism abroad has been for more than 70 years and develops relatively mature theory through application. Being a good reference, however, the practice abroad does not suit China’s enterprises because China is different from the developed countries. Theoretically and practically, the current executives’ incentive mechanism in our country is far from perfect, and of little motivation effect. This thesis attempts to perfect the executive’ incentive mechanism, then to improve the effectiveness of the motivation and enhance the function of the system’s motivation. This thesis is divided into six chapters. The first chapter, mainly researches on the significance of this thesis and related content, emphasizing the practical significance of the incentive mechanism of public companies to our development country process. The second chapter, discusses the level of incentive mechanism and the general theory, explaining the domestic and foreign executives theory to encourage the research results related to the concept of motivation. The third chapter, introduce the foreign public companies' incentive model, such as American model and Japanese model. The fourth chapter discusses the status of our public companies' encouragement, which include income incentive, stock incentive, spirit incentive and so on. Then finds some problems of the public companies incentives, and further analysis the causes of their problems. The fifth chapter optimized incentive structure to improve business results, protect the shareholder rights and promote the perfection of the modern enterprise system. The last chapter ,getting the Tianjin Teda Co.,Ltd. on the status of the incentive mechanism analysis, the company has made in operating results incentive, and its own advantages, then gives some recommendations on the examination of existing incentive system to play a practice and guidance role. This thesis focuses on the executive's incentive mechanism to analysis and research, in accordance with the "Needs and Incentives - Incentive Mechanism - Incentive Scheme - Incentives Improvement," the main lines, giving some countermeasures and suggestions. | |
