中文摘要：	本文以中国民生银行并购战略为主线，提出了中国民生银行并购战略的基本思路。首先本文对国内外商业银行并购研究动态予以综述，回顾了并购的主要理论，对银行并购相关概念予以界定，对我国商业银行并购历史进行回顾，对并购特点进行了分析，为中国民生银行并购战略研究提供了理论基础；然后运用PEST、五力模型等分析法结合民生银行的企业发展战略分析了民生银行并购的动因；其次运用并购的规模经济和企业发展等理论设计了中国民生银行应该采取的并购战略模式，对民生银行采取横向并购、混合并购和跨国并购的意义进行了分析并对其实现途径进行了阐述。最后本文对中国民生银行并购战略的实施中的风险控制、并购战略运行机制和并购后的整合管理提出了建议。 根据上述研究思路，本文在结构上分为绪言，四章正文和结论。 绪言主要介绍了本文选题背景和本文的研究思路及结构安排。 第一章为相关研究成果综述。本章首先对国内外商业银行并购研究动态予以综述，然后回顾了并购的基本理论，为后面章节提供了理论基础。最后对银行并购的概念和并购类型进行了综述，同时阐述了银行战略并购和银行并购战略的基本概念。 第二章为中国民生银行并购战略动因分析。首先对中国民生银行并购战略宏观环境进行PEST分析；对中国民生银行并购战略微观环境进行五力模型分析；对民生银行优势劣势及机会与威胁进行SWOT分析。然后阐述了民生银行企业发展战略与并购战略的关系。最后分析了民生银行并购战略目标定位。 第三章为中国民生银行并购战略模式设计。基于规模经济等并购理论，为民生银行设计了三种不同的并购战略模式。本章分为三节，分别阐述了中国民生银行横向并购战略、混合并购战略和跨国并购战略的意义与实现途径。 第四章为中国民生银行并购战略的实施。本章首先阐述了并购实施的风险及防范措施，然后分析了民生银行并购战略的实施运行机制，最后说明了民生银行并购战略的实施中整合管理的重要性。 结论中本文提出了推进中国民生银行并购的具体思路。
英文摘要：	In this paper, to China Minsheng Banking M & A strategy as the main line, put forward the China Minsheng Banking M & A strategy, the basic idea.
