中文摘要:摘 要 改革开放以来,我国的民营企业迅猛发展,其中,家族式民营企业是一个重要的组成部分。在我国市场经济的创立和建设初期,家族式民营企业为市场经济的发展起了一定的作用。但是,由于家族企业本身的特点,我国家族式民营企业发展还不均衡,很多企业在发展过程中受管理水平、人才资源和资金瓶颈等原因,存在各种问题。研究解决家族式民营企业的经营与发展问题,是我国民营企业发展的一个重要课题。 纵观世界企业发展史,很多国家的企业从古典的家族企业向现代企业发展都经历了一个过程。许多学者的研究发现,世界各国的企业发展过程与特点是不同的,美国实行现代企业制度的企业较多,欧洲的一些国家还有很多企业保持着传统企业的特点,而东南亚国家的家族式企业则较为普遍。这与企业的规模、经营领域、经营模式和所在国家的文化传统有关,尤其是和企业所在国的社会信任机制和社会信任程度紧密相关。由于我国的文化传统和市场经济的建设水平,我国家族式民营企业在民营企业中占了相当大的比重。 家族式民营企业的特征决定了其在公司治理结构、经营模式、管理风格以及企业文化等方面具有本身的特点。研究这些特点并根据其特点的规律来建设、经营和管理我国的家族式民营企业,对于我国民营企业的发展具有重要的理论意义和现实意义。 本文回顾了理论界对国内外家族式企业的研究文献,从家族企业的含义、特点出发,到家族企业向现代企业发展的影响因素以及经营管理特点作了综述,然后以此为依据,从公司治理和经营管理的角度对我国家族式民营企业进行了分析,总结出我国家族式民营企业的治理特点和经营管理特点,并以山东福康作为案例,分析了该集团的以MBO方式初创公司,经过艰苦奋斗与锐意改革的成长过程,取得骄人的经营业绩与具有特点的成功经验。在此基础上分析评价了福康集团具有特色的党政联席会治理方式、集权及事必躬亲的经营管理风格。最后,在分析评价福康集团存在问题的基础上,从发展的角度提出了进一步完善其经营管理的若干建设性建议与措施。  
英文摘要:Abstract The reform and open policy has brought rapid development of private enterprises in our country. Family private enterprises are an important component. During the building and development of market economy in China, family run business played an important role in the market economy system. However, family firm has not developed well due to the characteristics of their own, many enterprises were limited by management, human resources and financial bottlenecks and other reasons in the development process, there existed various problems. Studying and solving the problems of the family private enterprises are an important issue. Throughout the history of the world's enterprises, the classical family business had developed to the modern enterprise which also has undergone a process in many countries. According to the study results of many scholars, business development process and the characteristics are different in many country of the world. The United States has implemented a modern enterprise system, however, there are many enterprises which maintain the characteristics of traditional enterprises in Europe, while family business are more common existed in the Southeast Asian countries. The size of the business, business areas, business model and the country's cultural traditions, particularly, social and corporate trust mechanism and social trust are closely causing the different in those countries. As to the development level of the Chinese cultural tradition in the market economy, Chinese family-owned private enterprises accounted for a large proportion in the private enterprises. The characteristics of family-owned private enterprises determine their corporate governance structure, business model, management style and corporate culture. Studying the characteristics and laws of family-owned private enterprises has important theoretical and practical significance to their construction, operation and management for the development of private enterprises in our country. The paper reviews the theories about family-owned private enterprises business from the researching on literature in domestic and abroad. The family business definition、 characteristics、modern enterprise development and management factors were reviewed, As the basis, from the perspective of governance and management of private enterprises in China, summed up the corporate governance of family-run features and management features. Shandong Fukang as a case study of the MBO which group from start-up companies, Through hard work and commitment to reform of the growth process,it has achieved remarkable results of operations and has the characteristics of successful experience. Based on this analysis and evaluation of the Group Joint Committee,analyzing the characteristics of the party governance, centralization and hands-on management style. Finally, through the analysis and evaluation of the problems in Fukang Group, propose a number of constructive proposals and measures in further management improvement.
