中文摘要：	摘要 战略联盟是两个或两个以上的伙伴企业为实现资源共享、优势互补等战略目标而进行的以承诺和信任为特征的合作活动。战略联盟的出现有其深刻的政治和经济背景，学者们从交易成本理论、价值链理论、社会网络理论等角度进行了深刻的剖析和阐述。战略联盟有其存在的合理意义，但也存在失败的风险，建立联盟之前和之后都需要一定的治理机制。 天津港未来发展的目标是建设成为北方的国际航运中心和物流中心。这一目标的提出是因为天津港拥有巨大的腹地及港口优势，但是港口作为一个节点，其资源的获取受到地理及自然条件的限制，同时大连、青岛等港口都在争取成为北方的国际物流和航运中心，竞争激烈。为此，天津港提出了与铁路建立海铁联盟的战略，铁路部门已经有四通八达的物流网络，可以大大扩展天津港业务领地，在与其他港口的竞争中占据绝对的优势。 本文从分析海铁联盟的建立基础入手，从理论的角度分析了联盟存在的意义；阐述了在海铁联盟过程中有可能出现的一些问题及风险，从解决这些问题的角度，设计了联盟的治理机制，简单介绍了这些机制在实际中的应用，最后提出了发展天津港港口集装箱海铁联盟的其它建议。这只是海铁联盟的第一步，后面可以深入研究联盟及治理机制在实际运作中的作用及效果。
英文摘要：	ABSTRACT Strategic alliance includes cooperation activities between two or more partner enterprises. Its goal is resource sharing and advantage complement, while its characteristic is commitment and trust. The emergence of strategic alliances has deep political and economic context. Many scholars explained it from transaction cost theory, value chain theory and social network theory. The exist of strategic alliance is reasonable, but it also may fail. To be successful, it requires some governance mechanisms. The future goal of Tianjin Port is to be the northern center of shipping and logistics, because of its advantage as huge hinterland. But as a node, the resource obtain of Tianjin Port is limited by geographical and natural conditions. At the same time, other ports such as Dalian and Qingdao also aim to be the northern center of shipping and logistics, which means their competition is severe. As a result, the strategy alliance with railway was proposed. The railway department has extensive logistics network, which could greatly expand the business territory of Tianjin Port as well as own the absolute advantage compared with other ports. This paper analyzed the establishment base of Port- Rail and illuminated its exist meaning from theoretical insights. It described possible problems and risks during alliance process. In order to solve them, the paper designed governance mechanism and simply introduced their practical application. At the end, the paper put forward some other advice about the development of Port- Rail alliance. This is only the first step, the future research will focus on the role of alliances and governance mechanisms.
