中文摘要:摘 要 公司作为一种先进的企业组织形式,是生产力高度社会化的有效载体,在创造出巨大的社会财富的同时,也日益暴露出其基于公司所有权和经营权相分离而产生的公司法人治理结构的建设与完善问题,公司治理结构是现代企业制度的核心,是企业提高经营绩效的关键因素。 国家作为国有企业唯一或主要出资人,国有股权代表权力既过分集中,又经常“缺位”,国有企业法人治理结构内部人控制、治理机制不健全、治理行为不规范等治理问题不断出现。 本文通过公司法人治理结构运作机制的理论剖析,比较分析了三种国际公司治理模式,特别是对企业集团公司法人治理目标、边界、内涵、控制机制、管控模式与母子公司组建形式进行了深入研究,阐述分析了航天万源实业公司法人治理结构的现状和存在问题,提出了航天万源实业公司法人治理结构优化与完善的七个对策:一是引入战略投资者,实现股权多元化,二是优化公司治理结构设计,三是调整公司组织发展架构,四是强化母子公司出资人代表履职,五是完善母子公司董事会组织基础,六是突出监事会监督作用,七是强化经理层决策执行作用,并从内部制衡机制、市场配置机制、激励约束机制三个方面系统论述了航天万源实业公司法人治理运作机制的改进措施,对于实现航天万源实业公司从行政型法人治理结构向适应市场经济转型要求的经济型集团法人治理结构转变,加快航天万源实业公司市场化、规范化、制度化建设与发展具有重要的实践意义。  
英文摘要:Abstract As a superior form of business organization and an effective carrier of highly socialized productivity, corporate creates huge social wealth, at the same time, more and more problems about the construction and improvement of corporate governance structure which stemming from the separation of ownership and management rights are exposed. Corporate governance structure is the core of modern enterprise system and key factor of enhancing corporate performance. Government is the only or main investor of state-owned enterprises, on average; the state-owned enterprises have not only highly concentrated ownership structure but also “the absence of owner” problem. As a result, the problems of internal control, imperfect governance mechanism and irregular governance conducts are arising. In this thesis, we analyze theoretically the operational mechanism of corporate governance structure and make a comparison of three modes of international corporate governance, especially for enterprise groups, the objectives, boundaries, contents, control mechanisms, control modes of corporate governance and formation of parent-subsidiary relationship are deeply studied. Taking Aerospace Wanyuan Industrial Corporation as an example, we analyze its status quo and existing problems of governance structure, and then put forward seven countermeasures to optimize its corporate governance structure: the first is the introduction of strategic investors to achieve diversification of equity, the second is the optimization of corporate governance structure, the third is the adjustment of the organization structure, the forth is strengthening investor representatives’ duties in parent company and its subsidiaries, the fifth is improving the organizational foundation of board of directors of parent company and its subsidiaries, the sixth is highlighting the supervision role of board of supervisors, the seventh is strengthening the implementation role of managers. We discuss systematically the measures to improve corporate governance of Aerospace Wanyuan Industrial Corporation from three perspectives, that is, internal equilibrium mechanism, market allocation mechanism, incentive and restraint mechanism. All these are of important practical significance for Aerospace Wanyuan Industrial Corporation to transit from administrative corporate governance to economic group governance to meet the requirements of market economy and for Aerospace Wanyuan Industrial Corporation to speed up the process of marketization, standardization and institutionalization.
