中文摘要：	摘 要 县域经济是国民经济的重要支撑力量和协调城乡关系的重要环节，而县域国有资产经营管理公司在县域经济中已扮演着愈加重要的角色，作为地方政府融资性平台和企业经营性平台，在发挥国有资本的带动力、控制力和影响力，整合地方自然资源和经济资源，优化资源配制方面日益发挥着更加重要的作用。 研究县域国有资产经营管理公司治理对保证公司决策的科学化，保证公司各方面利益的最大化，并实现在当地经济中最佳的经济效益和社会效益有着重要的意义。县域国有资产经营管理公司一般情况下为县域政府出资的国有独资公司，它不同于一般的生产性国有企业，它是在特定的区域环境下行政型治理和经济型治理的结合体。在目前国有资产管理体制下，县域国有资产经营管理公司的治理结构和治理机制还不健全，大多处于典型的行政型治理阶段，还没有形成真正的经济型治理模式，影响了公司治理效率和科学决策，制约了公司的发展。如何完善县域国有资产经营管理公司治理，促进其由行政型治理向经济型治理转型应成为重要的研究课题。 本文以县域经济和公司治理相关理论为基础，以县域国有资产经营管理公司治理为研究对象，阐明了县域国有资产经营管理公司的主要特性和治理转型研究的必要性，分析了县域国有资产经营管理公司治理现状，比较了不同类型的国有资产管理公司，剖析了胶南市国有资产经营管理公司治理存在的问题，提出了改进完善的意见，并在此基础上提出了加快由行政型治理向经济型治理转变，完善当前县域国有资产经营管理公司治理转型的对策和建议。最后对全文进行了总结，提出了创新点和不足，探索性地提出了进一步完善县域国有资产经营管理公司治理的展望。 本文采用理论分析和案例分析相结合的方法，对现实问题进行了分析探讨，起到了一定的实际意义。
英文摘要：	Abstract County level economy is the strong support of national economy and an important link for urban and rural balancing. County level State-Owned Assets Management Company (CLSAMC) plays a key role in county level economy. As the platform for government funds circulation and enterprise operation, CLSAMC becomes more and more important in the aspects of bringing the control power of State-Owned Assets into full play, conform ting local natural resource and economy resource and optimizing resource distribution. CLSAMC governance study is significant for company to making scientific strategies, earning biggest profit and realizing the best economy returns and social effect. However, CLSAMC is not the same as normal producing state enterprise. It is the access point of administrative governance and economic management. In the current state-owned assets management system, neither governance structures nor mechanisms of CLSAMC is perfect. It has not form real economic governance which affects the efficiency and scientific decision-making of parent corporate, and constrain the development of parent corporate. How to perfect CLSAMC governance and transform administrative governance to economic management becomes an important study topic. Based on the relative principles of county level economy and corporate governance, the paper researches CLSAMC governance, and clarifies the characteristics of CLSAMC and the necessity of CLSAMC governance study. It also analyzes the governance condition of CLSAMC, compares different types of state-owned assets management companies, dissects the governance problems of Jiaonan State-owned Assets Management Company, and makes a suggestion. The last section concludes and puts forward the innovation and inadequacies of the article, and looks forward to the further improvement of CLSAMC governance. This paper combines the theoretical analysis and case study method. As the practical problems are discussed, it is of practical significant to some degrees.
