中文摘要：	摘 要 中国电子工程设计院是国有独资的大型设计企业，其公司治理模式目前尚停留在强行政型治理和粗放式的治理阶段，表现为典型的资源配置行政化、经营目标行政化、高管任免行政化。对大型设计企业进行研究不仅可以丰富关于该类企业公司治理特性的理论，同时，为其他大型设计类企业整体改制上市、构建集团式的治理结构和经济型治理体系提供了一定的借鉴。 本文论述了公司治理、国有独资公司治理转型、集团治理、整体改制上市等基本理论，以及大型设计企业集团改制模式如“海诚模式”等，在此基础上，提出大型设计类企业的公司治理设计应同时符合国资委的规则和集团治理合规的要求；同时本文提炼了大型设计类企业公司治理的共性要素，如院务会类似集团的治理功能、技术人才的强激励、强化无形资产治理的重要性等。 本文指出了中国电子工程设计院面临的行政型治理的诸多问题和整体上市以及集团化的必要性，对这一企业的公司治理现状进行了分析与提炼。在政策建议方面，就如何构建该集团的经济型治理模式提出了一定对策。
英文摘要：	Abstract China Electronics Engineering Design Institute is a solely state-owned large engineering enterprise. Its corporate governance still remains in an administrative and extensive mode, focusing on typical administration of resource distribution, business operation objectives and appointment or removal of senior executives. The studies of such large-sized engineering enterprise can not only enrich the characteristics of corporate governance theory, but also provide a reference for the governance reconstruction, economic management system reform and even listing as a whole group for other similar-sized engineering enterprises. This article provides the discussion about corporate governance, including the basic theories on the management transformation, group management, overall system reform and listing of a solely state-owned company, and system restructuring modes of large engineering groups such as "Haicheng Mode". Besides, it puts forward that the corporate governance formulation of a large engineering enterprise should be in compliance with the rules of China State Asset Regulatory Commission (SARC) as well as its group management. The article abstracts some common characteristics of large engineering enterprises in the corporate governance, such as company affair meetings, intensified encouragement of technical staff, and strengthening of intangible assets. This article states the existing problems of China Electronics Engineering Design Institute in its administrative governance, and the significance of getting listed as a whole group.It studies and abstracts the corporate governance status of China Electronics Engineering Design Institute. At the end of the article, some policy suggestion is put forward on how to set up the economical management mode of China Electronics Engineering Design Institute Group.
