| 中文摘要: | 摘 要 本文对国内外公司治理结构的研究理论进行了总结,比如公司治理原理与框架以及公司治理与公司战略的实证研究等等,并以这些理论为基础,以鼎盛天工(600335 SH)为研究对象,通过访谈、调查问卷和对公司年报的分析,对鼎盛天工的公司治理进行案例研究(包括公司股权结构与实际控制人、法人治理结构、内部监督机构、经营团队等),探索有效的公司治理实践。 在分析鼎盛天工公司治理的过程中,我们发现鼎盛天工公司治理具有经营层稳定、重视研发创新、市场拓展有效、公司成长稳定的特点,说明公司的治理情况不错,但是公司的经营目标不应仅限于股东利益的最大化,也应考虑除了股东之外的利益相关者,如债权人、雇员、供应商、顾客和政府等多方面的利益关系,因为他们都是特殊资源的拥有者,而这些资源对公司来说都是同等重要的。本文通过对DSTG公司治理的研究,使公司内部所有利害相关者能够达到利益最大化,进而实现公司经营的最终目标。 最后,我们对鼎盛天工公司治理的成功经验和不足做出分析后,也分别从董事会层面和经营层面上提出了一些建议。包括在董事会层面,要建立考核董事会绩效的机制以提高董事会的决策效率和质量。在经营层面,我们建议,公司高层要加强内部控制,降低公司重组后的风险,优化集团公司的资源配置;加大人才培养力度,使公司的深度整合获得更大的发展;采用信息化管理的方法来对公司进行深度整合,形成长效机制。 关键词:公司治理,国有上市公司,鼎盛天工 | |
| 英文摘要: | Abstract The world financial crisis is a great challenge to global economic development, but history has shown us that there will be significant innovations and opportunities after each major crisis. Then the new adjustment leads the economy to the next boom. The development of competition in the process, those who can integrate technological and management innovation together will seize the opportunity and become the new business leaders. This article reviews and summarizes the corporate governance structure and, which involves such as corporate governance principles and framework for empirical research and corporate strategy, etc. Based on these theories, We take DSTG ( 600335 SH) as example to make studies of corporate governance (including corporate ownership structure and the actual controller, corporate governance structure, internal monitor organization, management team, etc.) and explore effective corporate governance practices. In the analysis of DSTG corporate governance, we find that the character of DSTG corporate governance has a stable business operating level, concrete R&D team, and effective marketing system. But the company's business objectives should not be limited to maximize the interests of shareholders, outside shareholders should also be considered in addition such as creditors, employees, suppliers, customers, governments, etc. As they are the owners of specific resources, and these resources are equally important for the company. Based on the reach of DSTG corporate governance structure, we hope to make all related organizations achieve maximum benefits, and then achieve the ultimate goal of company. Finally, after making analysis of DSTG corporate governance advantage and disadvantage success to, we respectively give some suggestions on directorate level and operational level. We expect these suggestions for improving the level of corporate governance, as well as getting inspiration on practical significance. For example, at the directorate level, we establish mechanisms for assessing the performance of the directorate to improve the efficiency and quality of decision-making. At the operating level, we suggest that executives should strengthen internal controls, reduce the risk of the restructured company to optimize resource, make efforts to develop human resource strategy, etc. In order to achieve a greater development; we should take use of information technology management approach to deepen integration of the companies to form long-term mechanism and continuous improvement process.
