中文摘要：	摘 要 2010年1月11日，天津滨海新区正式从经济区转变为行政区。为了进一步理顺管理体制和投资运作关系，滨海新区政府正在按照 “一个功能区，一个管委会，一个集团公司”的思路进行区域内企业重组。 2009年9月23日，天津滨海新区中心商务区投资集团有限公司成立（以下简称滨海中投（母公司）），其出资人为滨海新区国资委，经整合，其所属区域内原有的国有控股公司将以各种产权模式转化为其子公司。鉴于在母公司成立之前，各子公司已经在中心商务区的开发建设当中起到了积极的作用，且也以形成了各公司完善的公司制度，独立的运作的模式以及生产投资领域，所以这种典型的由于行政改革而组建的“先有子公司，后有母公司”的国有控股企业集团的管控体系构建充满特殊性及复杂性。 本文正是以此为切入点，以国有控股企业集团管控体系的研究为背景，以滨海中投集团管控体系的构建为研究目标，运用“7s理论”通过对母子公司影响要素进行逐一的分析，并将分析结果结合组织结构理论，管理控制理论，为滨海中投（母公司）构建组织架构，并从战略、人力资源、文化、品牌四方面进行设计管控模式的设计，从而构建滨海中投集团的管控体系，并进而提出构建此管控体系的实施方案。 本文的创新性在于运用“7s理论”将影响企业集团构建的母子公司要素进行“硬因素”及“软因素”的细化，从而全面剖析了在特定发展阶段、既有国有控股集团普遍性特点又兼具个体特殊性的滨海中投集团。在管控体系构建中，对于组织机构搭建及管控模式设计这两方面，也是打破了以往一个母公司对于子公司构建的单一性。本文分别针对子公司的不同特点及剖析结果，进行对其个体可行的组织机构构建模式及管控模式的选择，从而将滨海中投集团管控系统构建的复杂性、特殊性转变为适应性及完备性。
英文摘要：	Abstract With the rapid development of the economy in BinHai new area，the System of State-owned Assets Management need reform. In order to catch up with the trend ,The BinHai new area government apply a new management mode“one district，one committee，one group of company”. Tianjin Binhai New Area Central Business District Investment GROUP CO.,LTD was established in 29th sep. 2009.At the same time，3 State-owned Assets company within this area became subsidiary company of it. The subsidiary company was play an important role in establishing the BinHai new area before the parent company established. Therefore the special combination is complicated and complex. This article Take the State-owned Assets company management and control system the background，based on the “7s”theory、management control theory、organization structure theory， to achieve the goal of establishing a system of management and control and implement measures. The innovation of this article lies in the anglicizing element using the “7s”theory. In a particular stage of development, complete it both in universality and particularity on TCIG. And then Break down old conventions of singleness of the system.
