中文摘要：	由于现代公司的所有权与控制权分离，催促了公司治理理论的诞生。现代企业的本质是以股东为主的各利益相关者的契约集合体。因此，公司不仅要对股东负责，对如债权人、雇员、供应商、顾客、社区和政府等多方面的利益相关者也负有一定的说明责任。众多理论研究和实践结果表明利益相关者理论随着经济发展和社会认识而不断地发展，利益相关者共同利益最大化将是现代企业的必然选择。 论文概述了目前民营企业的发展和公司治理状况，即：无论从核心竞争力、经济规模和指标看，我国的民营企业与国际大企业还存在着一定的差距，因此企业的公司治理问题日益重要。随着股权分置改革的基本完成，国内上市公司将逐步进入全流通时代，这意味着将有更多的中小股东参与到公司治理实践中来，上市公司已进入包括广大中小股东、员工、消费者等利益相关者的“共同治理”时代。 本文尝试以天士力股份公司为例，分析该上市公司自身成长历程和公司治理机制特别是利益相关者治理机制，认为天士力股份公司在维护和平衡利益相关者利益方面的治理工作是卓有成效的，同时难免一些民营上市公司长期存在的公司治理问题，利益相关者治理不尽完善。由于当前利益相关者的更加多样性，监管机构和监管制度的多重性，必将引起利益相关者治理的复杂性。努力做到平衡各个利益相关者的利益关系将是天士力股份公司高层管理者必须综合考虑的公司治理的重要课题，因此天士力股份公司在公司治理方面的成功经验和存在需要完善的地方，值得我们探讨和借鉴。
英文摘要：	Corporate Governance derives from the segregation of the ownership and the controlling power. In essence the modern corporate is a covenant collectivity of all related, so it has responsible not only for shareholders, but also for employees, managers, vendors, customers, community and government. Many theory researches and practice results show that, the theory of interest related is developing with the economy and the society recognition. For the modern corporate, the only one choice is to make the common interest maximize. This study summarizes the resent development and the governance status of private-owned corporate. Judged by whatever aspects regarding core competitiveness, economy scale and indicators so far, private-owned corporate have very big gaps compared with foreign ones. Amidst these gaps is corporate governance which is nowadays considered to be more and more important .The entire liquidity after the liquidity reformation of predicates a trend of more and more smaller shareholders. Public-listed companies in China are entering a new era of co-governance by all stakeholders、employees、consumers and other interest related in the corporate governance. Taking Tasly Pharmaceutical Co., Ltd.for example, this paper analyses its growth history and the corporate governance structure especially the interested related governance structure, realizes that the Tasly Co., Ltd and her subsidiaries have achieved great excellence in maintaining and balancing the interest related, but on the other hand, inevitably bear the corporate governance imperfectness and interest governance insufficiency of some private-owned corporate in long time. Because of the variety of modern interest related and the supervising angencies, it will surely lead to a complex situation with interest related governance. The situation will generate serials of cooperate governance tasks, including balancing investors’ interest for the top management to undertake and the success of such undertaking is obligatory. So the Tasly Co., Ltd’s success and imperfectness in corporate governance are good live examples for a thorough study in order to give some enlightenment and reference.
