中文摘要：	东道国选择战略是企业国际化战略的首要选择。随着我国企业逐渐进入到世界舞台成为跨国企业集团的生力军，我国企业在进行对外直接投资时，如何选择东道国战略成为了核心问题。而制度作为东道国的重要影响因素，影响着东道国的经济活动，也影响着企业对东道国直接对外投资的选择。 我国正处于由计划经济向市场经济体制的转轨期，由于计划经济历史的遗留，目前我国企业所生存的制度环境也呈现出一定的特征：基于关系型的治理环境。在这种环境下，企业的所有制也成为了一个制度优势，使得国有企业与民营企业的经营环境陡然不同，造成了企业对外直接投资的动机也不同。本文从制度的观点出发，结合中国的制度环境以及我国企业对外投资的动机，探究东道国的制度环境对我国企业对外投资的东道国选择战略的影响。 本文分为五个部分，第一部分为引言，对全文的研究内容，目的，方法和结论做一个概况介绍。第二部分介绍了影响企业跨国直接投资的相关理论：制度理论，交易成本理论以及FDI理论。第三部分分析了我国企业所处的制度环境，我国企业对外直接投资的动机，并在此基础上分析了东道国制度环境对我国企业对外直接投资战略选择的影响。第四部分介绍了本文的实证研究结果。最后为本文的结论以及建议。 本文主要采用了因子分析对正式制度的分子标进行了萃取，最后复合成为了一个综合的制度指数。并按照中介变量的传导机制，利用回归模型检验并验证了：一、东道国制度环境质量与我国企业对外直接投资显著正相关，东道国制度环境质量与东道国宏观经济水平显著正相关，东道国宏观经济水平在东道国制度环境质量与我国外向企业对外直接投资之间起着中介作用。
英文摘要：	Host county choice is the first strategic choice of enterprises which are pursuing internationalization. With the development of Chinese economics, more and more Chinese firms began ‘Go abroad’, therefore, it become the critical issue of our Chinese enterprise which host country to directly invest in. Institution is the key component of host country environment. The reaction between institution and organization shapes the land of economics, and it also affects the host country choice. At the transformation point from planned economics to market- oriented economics, we have historical problems from planned economics. The institution environment Chinese firms lives in is called Relation- Based Environment. In this environment, the difference of ownership brings different institution advantage of Chinese firms. Based on the institution- view, this thesis try to find out how Chinese firms choose host country, with the analysis of Chinese institution environment and the investment motivation of Chinese firms. This thesis was composed with five parts. The first part is instruction of the whole thesis, giving an overview including our research context, goals, methods and conclusion. The second part introduced the related theory of internationalization, including Institution – based view, Transaction cost theory and the FDI theory. The third part is the main analysis part of the whole thesis. We analyzed the institution environment and investment motivation of Chinese firms. Based on the analysis, we explored how the institution of host country affects the host country choice of Chinese firms. This thesis uses factor analysis of the formal institution and extracted the final compound institution index. Under the intermediary variable transmission mechanism, this thesis tested and verified the following hypothesis as follows: The institution quality of host country and Foreign Direct Investment is significantly positive correlated; The host institution environment and the macro-economic level of the host country was positively related; Macro-economic level of the host institution plays an intermediary role between the host country institution quality and direct foreign investment of Chinese firms.
