中文摘要: 随着行业开放程度的不断提高,我国旅行社业经过30多年发展,已经形成了庞大的企业规模。旅行社在诸多旅游企业中扮演着特殊而重要的作用,无论是在“三大支柱说”还是在“五大支柱说”中,旅行社都是其中不可或缺的核心角色。 我国旅游业一直采用政府主导型发展模式,因而发端于事业单位的国有旅行社始终占据相当的比重。在企业的集团化发展政策指引下,政府部门运用行政手段,或在国有大型旅行社基础上,或在地方政府旅游企业基础上,以“先有子,后有父”的方式组建集团来发展旅游经济。自成立初至今,这种类型的旅游集团在中国旅游业发展中一直占据着主导地位。但是,政府组建的旅游集团从开始便混淆了集团类型的本质差别,导致其在发展中暴露出“集而不团”的弊端;在建立现代企业制度的重组过程中,也只是在原企业集团框架下向集团公司模式过渡。然而,这种过渡模式表面上看似成功,实际上则问题众多:一方面造成了基于企业资产关系的若干严重问题,另一方面忽视了集团公司产生的内在要求,进而造成了旅行社在集团内应有功能的弱化和缺失,不仅对旅行社发展不利,而且对集团发展危害更大。 本文运用SWOT方法,首先分析了国有旅行社集团目前的内外环境状况找到影响未来发展的因素;然后根据现代公司“治理比管理更重要”原则,以治理为重要出发点提出改善建议;最后依据集团治理理论,从集团公司内在演化要求角度,设计了一个以国有旅行社运作为核心的母子集团公司控制模式,以期可以解决国有旅行社集团现有问题,又为增强旅行社在国有旅游集团中的作用提供可操作路径。 
英文摘要:With the continuous improvement of industry openness, China's travel service industry after 30 years’ rapid development, has formed a large enterprise scale. The travel service in many tourism enterprises play a special and important role, both in the "three pillars theory" or the "five pillars theory", the travel services are the essential central role among those enterprises. China's tourism industry has been using a government-led development model, which originated in the institutions of the state-owned travel service has a pretty significant percentage. According to the policy guidelines in the development of business group, the public sector by administrative means, or at a large travel service in the state-owned basis or in the local government tourism enterprise basis, has constructed some business groups to develop tourism economy, with the "son was born, then his father" method. Since their establishment of early date, this type of tourism business groups’ development in the PRC has been dominated. However, the government which set up a tourism group from the beginning, confused the nature of the group types vary widely, leading its development exposed the shortcomings of "sets without groups"; in the process of a modern enterprise system restructuring, existed groups are only in the framework of the original Business Group under the transition to the Group Company. However, this seemingly successful transition model actually has many problems: On the one hand, a relationship based on business assets has raised serious problems, on the other hand, the neglect of the inherent requirements of the group company produced, leading the function of travel services in the group to be losing and weaker. This phenomenon not only does harm to the development of travel services, but also more dangerous to the development of tourism group. In this thesis, firstly SWOT method was used to analyze the state-owned travel service group’s currently internal and external environment to find influence factors of the future development; then under the modern corporate "governance is more important than management " principles, some recommendations for improvement are provided, which regard governance as an important starting point; Finally, according to the group governance requests, the author design a state-owned travel service operating model as the core of the parent group control mode,which is from the viewpoint of internal evolution of group, in order to resolve existing problems of state-owned travel service groups, but also to enhance the travel service in the role of state-owned tourism group from these provided operational path.
