| 中文摘要： | 企业在激烈的市场竞争中生存和发展，其路径主要包括，一是靠企业内部的资本积累或积聚，实现渐进式发展；二是通过企业并购，迅速扩大资本规模，实现超常规发展。因此，并购是企业发展的重要方式，在现代企业发展中有着举足轻重的地位。 在企业并购中必须以并购方的自身核心能力为导向，通过优化资源配置，强化企业的核心能力，以达到企业发展战略目标的需要。 在企业并购中，选择目标企业必须采取合理的选择过程和科学的选择方法，需要通过系统分析、价值评估，把目标企业的协同价值及整合风险预测结合起来，避免企业并购的盲目性，以达到对目标企业的最优化选择，实现科学决策。 为此本文以三级目标分析和模糊层级分析为重点，以作者亲历的真实案例，力求说明要以严谨的科学态度去评估被并购的企业。这是任何一个成功的企业管理者在追求成功决策中的必由之路，在我们力求用简单的方法处理复杂问题的时候，有些程序和环节是不能忽略的。 | |
| 英文摘要： | Enterprises to survive and develop in the intense market competition，its way mainly includes: first, relying on the accumulation of capital within the enterprise, realizes the evolution development; second, through the enterprise M&A, expands the capital scale rapidly, realizes the trans-normal development. Therefore, the M&A is the important way for enterprise development. It has the pivotal status in the modern enterprise development. The M&A must take the own core competencies as the guidance, through the optimize allocation of resources, to strengthen enterprise's core competencies, and meet the need of the enterprise’s development strategic target. In the M&A, selecting the target company must take a reasonable choice and scientific method, through system analysis, valuation, to combine the value of collaboration and the risk of integration, to avoid the blindness of M&A, in order to achieve optimization of the target company's choice to achieve scientific decision-making. In this article, there are three objectives of this analysis, evaluation system which is as the focus. By way of the writer’s experience, explain evaluation of M & A with the strict attitude of scientific. This is the only way for any successful business executives in the decision-making. Some of the procedures and links can not be ignored while we seek to use a simple approach to complex issues. | |
