| 中文摘要: | 经过多年的发展,作为中国民营房地产企业集团代表之一的永泰红磡集团目前的业务涵盖房地产、生物技术、矿产、软件、媒体、证券投资等方面,在房地产行业内部,又涵盖了住宅、商业、旅游、工业等不同的地产业态。如何划分多种产业、业态之间的边界,在分析新的内外环境的基础上,对集团现有的治理结构进行再设计、再优化,不仅有利于集团未来的健康发展,更重要的是更合理、更高效的治理结构将为集团未来战略的制定与实施提供一个坚实的平台,达到优化集团内外资源配置、促进集团公司快速形成自己的核心竞争力的战略目标。 本论文以永泰红磡集团为例,分析了中国民营房地产企业集团的治理结构和组织机构,并对避免公司运作中权责不清带来的潜在隐患作了研究。同时,对民营房地产企业集团内部可能出现的风险做了简单的分析,讨论了建立出资人制度,母子公司、各个子公司之间以及各项业务之间如何设立“防火墙”,进行风险防范和控制。 首先,论文探讨了企业集团治理及治理结构和组织机构方面的一般理论,分析了永泰红磡集团的现状。其次,在理论研究和现状分析的基础上,论文对永泰红磡集团治理结构和组织机构等问题进行了探讨,并从母公司对子公司的控制角度方面构建了集团的治理模型。 本文的研究,对永泰红磡集团治理结构和组织机构建设具有理论指导意义,同时,对中国民营房地产企业集团的治理研究也提供了实践依据。 | |
| 英文摘要: | After many years’ of development, the service of Vcanland Group involves the real estate, biotechnology, mineral, software, media, portfolio, etc. And the real estate involves the different areas, such as residential, business, travel, industry. It is conducive to the healthy development to divide the variety of industries. And aslo, the more reasonable and more efficient administration structure is important for the Group’ s future strategy formulation and implementation to provide a solid platform, to promote the group quickly form their own core competitiveness of the strategic objectives. Taking Vcanland Group for exampie, the essay analyses that the research of China Private Real Estate Enterprise Group, and analyses how to avoid the hidden trouble from the ambiguous rihgt and responsibilities distribution, this essay does the research about this. At the same time, the essay analyses the possible risk that comes from private real estate enterprise group, and talks about how to establish investor system, and how to build the firewall between Parent-subsidiary Company, each subcompany and between various business, in order to prevent and control the risk . At first, this essay talks about the theory of the enterprise group governance, administration structure and organization, and then analyses the situation of Vcanland Group. The essay discusses about administration structure and the organization institution of Vcanland Group, on the basis of the theoretical and situation analyses of Vcanland Group. Then it gives us the mode of enterprise group administration structure, from the angle of parent-subsidiary company controlling. According to the research, this essay gives the theory instruction to the administration structure and organization of Vcanland Group, and provides the practice instruction to the research of China Private Real Estate Enterprise Group. | |
