中文摘要:本文首先梳理了企业形态的演进与制度创新、公司治理问题的起源与内涵、公司治理的框架体系、治理模式、股权结构、我国国有企业治理结构特征及问题等与本文研究主题高度相关的概念及理论研究成果。其次,在此基础上,通过对天津市宁河建筑安装工程公司改制前后股权结构、治理结构与机制的对照分析,探讨了如何根据企业的实际情况,借鉴国际成功经验,在企业改制时优化公司股权结构、加强董事会职权、强化监督和问责、强化激励机制、加强利益相关者在公司治理结构中的地位与作用、完善独立董事制度等方面规范该公司治理结构,达到规范公司的运作,提高公司的治理效率,增强企业的竞争核心力的目的,促使公司稳定、健康的快速发展。 本论文在对国有企业改制的背景和必要性充分认识理解的基础上,通过对现代企业公司治理理论的梳理,结合天津宁河建筑安装工程公司具体情况,探索了国有企业改制中有效的公司治理结构与机制的构建路径。进而,论文通过论证组织变革与公司治理和企业战略构想之间的关系,指出公司治理结构和组织变革都要与发展战略相一致,对企业战略的实施起到制度保障作用,并提出了优化和完善公司治理结构与机制的措施。这其中我们充分认识到人力资源管理的变革是国有企业改制的难点和重点,一方面要安置好企业冗余人员的解聘问题,另一方面要完善对聘用人员的激励机制。论文的研究成果将对同类企业改制中如何通过公司治理结构与机制的变革推动企业战略转型,实现企业的可持续成长起到一定的参考借鉴作用。  
英文摘要:The enterprise shape evolution and the institutional innovations, the origin and connotation and frame system of corporation governance, the government pattern and the stockholder's rights structure as well as the management structure characteristics and problems in our country State-owned business were elaborated in this thesis. Through the analyse of stockholder's rights structure and the management structure which belong to Tianjin ninghe construction and installation limited company during its system reform. The thesis studied what we shall do to standard the company management structure and achieve the aim to standard company's operation, raises company's government efficiency, enhance enterprise's competition, urges the company developed placidly, fast and healthily according to the enterprise's actual situation and refering the international successful experience in the area which was include company stockholder's rights structure optimization, directors authority strengthening, surveillance and accountability enhancement and the incentive mechanism strengthening as well as the function enhancement of the counterparts' in company management structure and the independent director system consummation and so on . The thesis elaborates the theory of modern enterprise company governance in the foundation of full understanding of the State-owned business system reform's background and the necessity in the foundation. At the same time, the thesis explores the way of how to construct effective company management structure and mechanism in State-owned business system reform, then optimize and consummate the measures of the company management structure and mechanism through the proof of the relation of organization transforms, company governance and enterprise strategy conception according to the actual situation of Tianjin ninghe construction and installation limited company. The writer understood fully that human resources management is the difficulty and key in State-owned business system reform, on the one side we should solves the problems about enterprise redundant personnels, on the other side we shoule consummate the incentive mechanism of the hires. the strategic conception that the company management structure and the organization transform must adapt enterprise's property right structure and serve the enterprise, the property right structure, the company govern and the organization transform must be consistent with the developmental strategy was stated in this thesis.
