| 中文摘要: | 中国加入WTO后,国内市场已经或者慢慢地成为国际市场的一部分。ZH集团作为央企,并具三十年海外市场经营经验,做大做强的首选机会可能就在于内地,并购手段的超常规力量,大大缩短了依靠企业自身产业发展的时间,更容易推动集团迅速集聚资源,走规模经济和范围经济之路。 并购HW控股公司的最后结果对ZH集团来说不一定是最好的选择,但作为亲身经历并参与者也由衷地感到收获与锻炼。ZH集团选择其中一块极具升值潜质的金融资产,也基本实现了投资的高回报以及进入和熟悉金融领域的作用,为未来探索新投资目标以及新战略转型打下了基础。 本文力图通过事件的描述和总结,从中获得并购风险控制启示,毕竟对ZH集团百年基业的高远目标来说,服务于企业做强做大是我们每个ZH集团人的责任,而作为企业超常规发展壮大的手段之一的重组并购活动,绝对不会只是止步于此。 文章针对ZH集团并购HW控股公司过程中的风风雨雨,首先分析了ZH集团并购HW控股公司的历史背景,并对整个并购过程重要利益方进行交待。其次,文章将并购过程分成三个主要阶段,对并购过程及其战略博弈进行梳理,整个展开以时间顺序为主脉络,力求使分析更加具有条理性和可辨性;不论是第三章的并购重组环境变化分析,第四章的ZH集团并购战略目标调整分析,还是第五章的并购风险控制分析,都明显体现出个人观点与理论分析相结合、分析猜测与事后证实相结合、定量研究与定性分析相结合的特点。最后,在肯定ZH集团并购HW控股公司战略准备的前提下,总结分析ZH集团并购过程中的各种得失,提出从四个方面加强并购风险控制;并以国家政策为根据,从强化ZH集团房地产主业、实现ZH集团产融结合两个方面进行了简单分析,为ZH集团并购发展出谋献策。 | |

In this paper, relying on individual practical work experience for China-controlled CNOOC acquisition of the ups and downs during the first analysis of China-controlled CNOOC acquisition of the historical background, and key stakeholders throughout the acquisition process to account for.
