中文摘要：	中国加入WTO后，国内市场已经或者慢慢地成为国际市场的一部分。ZH集团作为央企，并具三十年海外市场经营经验，做大做强的首选机会可能就在于内地，并购手段的超常规力量，大大缩短了依靠企业自身产业发展的时间，更容易推动集团迅速集聚资源，走规模经济和范围经济之路。 并购HW控股公司的最后结果对ZH集团来说不一定是最好的选择，但作为亲身经历并参与者也由衷地感到收获与锻炼。ZH集团选择其中一块极具升值潜质的金融资产，也基本实现了投资的高回报以及进入和熟悉金融领域的作用，为未来探索新投资目标以及新战略转型打下了基础。 本文力图通过事件的描述和总结，从中获得并购风险控制启示，毕竟对ZH集团百年基业的高远目标来说，服务于企业做强做大是我们每个ZH集团人的责任，而作为企业超常规发展壮大的手段之一的重组并购活动，绝对不会只是止步于此。 文章针对ZH集团并购HW控股公司过程中的风风雨雨，首先分析了ZH集团并购HW控股公司的历史背景，并对整个并购过程重要利益方进行交待。其次，文章将并购过程分成三个主要阶段，对并购过程及其战略博弈进行梳理，整个展开以时间顺序为主脉络，力求使分析更加具有条理性和可辨性；不论是第三章的并购重组环境变化分析，第四章的ZH集团并购战略目标调整分析，还是第五章的并购风险控制分析，都明显体现出个人观点与理论分析相结合、分析猜测与事后证实相结合、定量研究与定性分析相结合的特点。最后，在肯定ZH集团并购HW控股公司战略准备的前提下，总结分析ZH集团并购过程中的各种得失，提出从四个方面加强并购风险控制；并以国家政策为根据，从强化ZH集团房地产主业、实现ZH集团产融结合两个方面进行了简单分析，为ZH集团并购发展出谋献策。

This article tries hard through event's description and the summary, obtains the merger and acquisition risk control enlightenment, to the sea hundred year base's industry lofty goal, serves in the enterprise does strongly does is our each sea person's responsibility greatly after all, but grows strong as the enterprise transnormal of a reorganization merger and acquisition activity methods, only will not be absolutely halts in this. In this paper， relying on individual practical work experience for China-controlled CNOOC acquisition of the ups and downs during the first analysis of China-controlled CNOOC acquisition of the historical background， and key stakeholders throughout the acquisition process to account for. Second， the article will be divided into three main stages in the process of mergers and acquisitions， M & A process and strategic game to sort out， the whole sequence started with time-based context， and strive to make analysis more rational and can be identified with the articles of; whether a third chapter of the merger and reorganization process analysis， the fourth chapter in the M & A Analysis of the sea， or the results of Chapter V of the M & A evaluation and analysis， have clearly reflect the personal views and theoretical analysis， analysis and subsequently confirmed speculation that the combination of quantitative research and qualitative analysis of combining characteristics. Finally， to acknowledge the sea-control strategies for mergers and acquisitions China prepared under the premise of the analysis of sea-acquisition process of summing up the various kinds of errors， and to national policy basis for strengthening of the sea real estate from the main industry， the realization of the marine aspects of the Combination of two simple analysis， the development of plans and strategies in mergers and acquisitions in the sea.
