| 中文摘要: | 随着国家对高科技企业在政策、税收等方面的优惠,高科技企业得到了很大的发展,但由于内部的治理结构设计和激励机制存在的问题,其中一些高科技企业要么出现权力斗争导致企业经营失败,要么因为对财富分配不满出现高技术人员流失。上海综宝环境工程有限公司是一件典型的高科技公司,也面临同样的治理问题,所以本文拟结合公司治理,特别是高科技公司治理研究的理论,对综宝公司治理结构和机制进行研究。 本文首先对国内外关于公司治理的理论进行了整理,分析了股东和管理者由于委托代理关系产生的治理问题,控股股东与非控股股东之间由股权和投票权的分离产生的治理问题,基于股东和其他利益相关者利益差异而产生的治理问题。并对经典的公司治理理论深入进行了分析,包括两权分离理论、委托代理理论和利益相关者理论。经过分析,发现高科技企业相对于传统企业具有如下特点:人力资本是主要价值驱动因素;具有高风险的特征;在发展中引入了风险资本;企业命周期的具有特殊性。高科技公司在资本结构治理、风险资本治理以及人力资本激励方面与传统公司存在较大的差别。基于前述理论分析,本文对上海综宝公司的治理结构安排和激励机制进行了设计。主要针对高科技公司的特点和特殊治理问题,对其股东大会、董事会、监事会、CEO、管理层控制权分配以及人员配备进行了设计。针对高科技企业人力资本的重要性,对在高科技企业如何实施股票期权激励进行了设计,包括确定股票期权授予的主体和对象,确定的股票来源,确定股票期权授予时机和有效期,股票期权的期权价、行权价、授权数量的确定,业绩评价,行权方式选择等。 | |
| 英文摘要: | The high-tech companies have developed greatly along with concessions in the financial, taxation and preferential credit terms, but because of the internal governance structure and incentive mechanism design problem, power struggle leads to business failure in some high-tech enterprise, some high-tech staff resignation because of dissatisfaction with the distribution of wealth. Shanghai Zongbao Environmental Engineering Co., Ltd., a typical of high-tech companies, is facing the same governance issues, so this thesis intends to research the governance structure and mechanism of Shanghai Zongbao Environmental Engineering Co., Ltd with high-tech corporate governance theory. The thesis first sorts out the theory on corporate governance at home and abroad. Then the governance issues due to principal-agent relationship, the governance issues arising from controlling shareholder and non-controlling shareholders from the separation between the equity and voting rights, and he governance matters because of the interest differences between shareholders and other stakeholders are analyzed. The classical theories of corporate governance are in-depth analysis, including the separation of ownership and the theory of principal-agent theory and stakeholder theory. Compared with traditional enterprise, high-tech enterprise has the following characteristics: Human capital is the main value drivers; with high-risk characteristics; venture capital is introduced in the development; Enterprise life cycle is unique. High-tech companies exist large differences in the capital structure of governance, risk capital, human capital management and incentive mechanism. Based on these characteristics, the governance structures of the arrangements and incentive mechanisms in Shanghai Zongbao Environmental Engineering Co., Ltd have been designed.
