中文摘要:煤炭在我国能源中占有主导地位,对于社会经济发展起着重要的作用。然而由于长期高强度和不科学的开采方式,不仅带来环境污染和生态破坏,对环境造成很大的压力,还引起了一系列社会问题。尤其作为煤炭资源大省山西,在上世纪80年代初为了支持国民经济发展,全省大量兴建中小煤矿。虽然在当时对山西经济发展起到很大的推动作用,但是由于小型开发商开采技术不成熟,对于资源浪费以及环境问题不重视,加上长期高强度、粗放式、大规模的煤炭开采,引发了一系列的矛盾和问题,导致山西省煤炭行业存在散、乱、差等一系列历史遗留问题,这些问题不仅导致资源浪费与破坏惊人,生态和环境污染严重,还使得区域经济也陷入了由煤炭主导的恶性循环中。 为改善煤炭开采环境,减少资源浪费和环境污染,国家及山西省政府出台了一系列相关政策,加快收购中小煤矿、煤炭资源整合进程。段王煤化公司作为山西省寿阳县煤炭企业,在此次政策导向下的资源整合过程中承担兼并主体的地位,通过兼并整合另外几家煤矿,最终成立段王煤业集团公司。 本文以此为背景,首先回顾和梳理了企业的并购动机、模式以及并购战略相关理论,然后从公司特征和公司的战略目标两个方面介绍了段王煤化的公司内部状况,并对段王煤化的生存的外部环境进行分析,并对政府资源整合政策进行介绍和解读,以及对段王煤化的优势、劣势、机遇和挑战进行了总结。之后,本文简要介绍了段王煤化在资源整合中的目标企业的基本情况,并分析了段王煤化作为兼并主体对其他公司进行并购的可行性。最后,本文在介绍以政策为导向的并购整合战略构建的原则和总体思路之后,对其资源整合的战略进行选择和构建,并提出并购整合战略实施过程中应当注意的关键环节和整合过程中的实施建议。 经过分析本文认为,在此次整合中,政府起到了十分明显的推动甚至主导作用,段王煤化公司必须抓住政策赋予其的机会,通过合理制定资源整合战略成立集团公司,进一步扩大其企业规模,提高竞争能力。  
英文摘要:Coal occupies the dominant position of the energy and plays an important role in socio-economic development in China. However, the long-term exploration with high-intensity and unscientific mining method, not only leads to environmental pollution and ecological destruction, but also raises a number of social problems. Particularly, in order to support national economic development in the early 80s of last century, Shanxi province constructed a large number of small coal mines. Although they played a significant role in promoting the economic development of Shanxi Province at the time, a series of contradictions and problems occurred. The small-scale mines’ immature mining technology, ingoing of the problems of resources waste and environmental issues, coupled with the long-term extensive-type, large-scale coal mining, are the reasons which lead to the existence of the chaotic coal industry, a waste of resources and destruction of astonishing, and serious ecological and environmental pollution in Shanxi Province. The State and the Shanxi government introduced a series of relevant policies to mergers the small and medium coal mines in order to improve coal mining environment, reduce resource waste and environmental pollution. Duan Wang Coalification Company is the main company in the policy-oriented resources integration. After merging several other coal mines, it will found the Duan Wang Coal Group. This paper sets the integrated strategy for the development of resources in order to meet policy requirements as well as improve the competitiveness of enterprises after analyzing the environment and related policies. First of all, this paper reviews the motivation and modes theories of enterprise's merger and acquisition and the theories of strategy, then describes the internal situation and the external environment of Duan Wang Coalification Company coupled with the introduction of integration of resources policies, summarizes the strengths, weaknesses, opportunities and challenges of company. Then this article briefly describes the situation of target companies in resource integration and analyzes the feasibility of mergers and acquisitions. Finally the paper introduces the policy-oriented merger and integration strategy and suggestions based on the principles and general ideas. This paper argues that the government has played a leading role in promoting in the integrations. Duan Wang Coalification Company must seize the given opportunity by policy to found Duan Wang Coal Group after setting the proper resources integration strategy, and expand its business scale, enhance their competitiveness.
