中文摘要:随着我国改革发展的深入进行,国企改革势在必行。出资人职责不到位是国有企业效益低下的症结所在,也是深化国企改革必须突破的重大问题。从2005年开始的央企董事会试点给我们带来了有益的启示:引入外部董事改善董事会结构,成立董事会下属的专门委员会,并由国资委向董事会授权,在经理人选聘、考核和决定经理人薪酬等方面都充分向董事会授权。央企的众多改革举措使我们对国有独资公司的治理改革有了新的认识。 目前我国各级国资委监管的企业大多是按照《企业法》设立的,不符合现代企业制度的要求,只有部分企业按照《公司法》要求进行了重组、改制或组建,同时组建了股东会、董事会和监事会等公司治理组织机构,但这些基本上还都停留在形式上的,这些企业的经营者还是习惯计划经济时代的行政命令式的管理方式,“三会”未能起到有效的治理作用。 董事会作为公司运转的“大脑”,在公司运营上居于核心地位,同时也是公司治理的核心和关键,搞好董事会治理,就等于抓住了主要矛盾,牵住了问题的“牛鼻子”,在国有独资公司治理上取得突破,因此国有独资公司的董事会治理就成为我们研究的主要对象和内容。 本文在对公司治理理论、董事会起源等进行回顾的基础上,分析了现阶段我国国有独资公司董事会治理存在的问题,对我国国有独资公司董事会治理改革思路进行了初步的探讨。之后通过对青岛交运集团公司董事会治理的实际案例进一步对上述董事会治理内容进行了分析与验证。最后对全文进行了总结,提出了本文的创新及不足之处。 本文采用理论分析、案例分析相结合的方法,对现实问题进行了论证与探讨,起到了一定的实际意义。  
英文摘要:As China's socio-economic development and in-depth reform, state-owned enterprise's reform is imperative Investor absence is the key problem of inefficient state-owned enterprises, and the major point of SOE reform .We can learn from the pilot project of board innovation of SOE in 2005 that the introduction of outside directors and sub-committees can help improve the board structure. The board is authorized by the SAC to selection, evaluate and appraisal the management, to decide the compensation of executives. These initial reforms of central enterprises provide us some new thoughts of governance of the solely state-owned enterprises. At present, most of the China enterprises supervised by the SASAC were established in accordance with the "Enterprise Law", which don’t meet the requirements of modern enterprise system. Only some of the enterprises had been reorganized according to the requirements of "Company Law" and establish shareholders Meetings institution, board of directors and board of supervisors. But these reforms are basically remains in the forms, and the management of these enterprises are still accustomed to operate using the planned-economy management approach, and the shareholders, directors and supervisors can exert their effective role in governance. There is still a long way to go for the governance innovation of the solely state-owned enterprises. Board of Directors is the "brains" in the company, and core of corporate, and core and the key of corporate governance. So to improve board governance is the principal contradiction and the main breakthrough in governance reform of the solely state-owned enterprises. Based on the review of corporate governance theory and the origins of board, this dissertation analyzes the main problems during director board reform in the solely state-owned enterprises and studies the suggestions for further innovation of director board in the solely state-owned enterprises preliminary. This thesis also analyzes and verifies our suggestions using the case study of Qingdao Jiaoyun Group. Finally, summary, contribution and shortcomings are followed. This dissertation, exploited theoretical analysis and empirical method, and demonstrated the practical problems, will play a certain practical significance. The suggestions obtained by the study in this dissertation can provide some important implications of further governance reform for other China solely state-owned enterprises.
