中文摘要：	伴随着我国经济的稳定和繁荣，我国的初创期普通合伙制企业也得到了蓬勃的发展，并在我国中小企业中占有一定的比例。这也就是说初创期普通合伙制企业经营的好坏，将会影响整个国民经济能否健康的发展。但是，我国初创期普通合伙制企业难以经营，合伙人之间矛盾重重，平均寿命又极其短暂的现状是不争的事实。现有的公司治理的理论研究主要针对的是如何处理好企业所有权与经营权分离而产生的代理问题。而初创期的普通合伙制企业由于规模，资金有限，往往是由合伙人直接参与管理，并不存在完全的委托——代理问题。因此，以往的公司治理的理论并不完全适用于初创期普通合伙制企业。本文针对中国初创期普通合伙制企业“两权合一”的特点，提出了一些的治理方法，希望能够给中国初创期普通合伙制企业提供一些借鉴。 本论文共分为七部分，各部分主要内容如下： 第一章是导论部分，主要包括研究的背景和实践意义，以及研究中所采用的方法和理论工具。 第二章是相关的理论回顾部分。结合相关的理论知识进行分析和整理，为以后几章分析问题以及对策的提出提供理论上的支持。 第三章是中外初创期普通合伙制企业现状及问题研究。本章对国内外的初创期普通合伙制企业的现状及存在问题进行归纳和分析。 第四章是中国初创期普通合伙制企业的特点分析。本章通过分析中国初创期普通合伙制企业与其它形式企业的区别以及其自身特点进行了深入的探讨，为后面的具体分析和相关治理机制的提出打下基础。 第五章是中国初创期普通合伙制企业的治理分析。本章力图在问题研究的基础上，提出一些适合中国初创期普通合伙制企业的治理方法。主要研究要点有合伙人的选择、权力和责任的分配、损益分配的分析、决策和监督机制以及合伙人之间的冲突管理等。 第六章是针对普通合伙制企业的特点，提出初创期普通合伙制企业的信任治理。本章着重阐述了初创期普通合伙制企业的如何充分利用情感关系资源优势，摆脱其局限，从而取得相应的竞争优势。 文章的最后是结论部分，总结了本文提出的一些治理方法，以及现阶段研究的不足和努力方向。
英文摘要：	Along with the development of the economic in China, the beginning establishment period partnership companies have a rapid development. They are now playing an important role in Chinese economic field. It indicates that the beginning establishment period partnership companies’ successful running will influent the development the economy of China directly. Well, the facts also show that there are lots of conflicts inside the beginning establishment period partnership companies and they are hard to be running. The governance theories were mainly dealing with the Proxy Solicitation in an enterprise. While the beginning establishment period partnership enterprises are too small, so Proxy Solicitation is not a problem of the enterprises. Therefore, the previous governance theory is not fully applicable to the beginning establishment period partnership enterprises. This thesis focuses on the characteristic of the beginning establishment period partnership companies in China, offers some governance methods. Hope they will be some references to the beginning establishment period partnership companies in China. The thesis is divided into 6 parts: The first part introduces the research back ground and the practical of the thesis. This part also contains the introduction of the research methods and the theory method. The second part is a review of the theories used in the thesis. It offers a support for the other parts. The third part of the paper is an analysis of the beginning establishment period partnership companies. Through the analysis of the situation and the problem, this part comes out of a problem summary. In the forth part, the thesis analyzes the characteristics of the beginning establishment period partnership companies. It is a basic of the promotion of governance system in the next part. The fifth part analyzes the governance of the beginning establishment period partnership companies. In this part, the thesis gives out some governance method based on the problem study. The main point of this part is the choice of the partners, the distribution of the power and the responsibility, profit and loss distribution analysis, the decision making and the supervision system and the conflicts management etc. In the last part, the thesis puts forward the trust governance of the beginning establishment period partnership enterprises. It focuses on the analysis of how to make full use of the feeling in the beginning establishment period partnership enterprises in order to gain the advantages in the competition. The final part of the paper is conclusion, which summed up the governance methods proposed in the paper, and the shortcomings and development direction of the current studies.
