中文摘要: 全球金融危机背景下,作为全球经济中坚力量的跨国公司,因其全球化生产经营完全纳入到世界经济当中,受危机的冲击极为严重。金融危机给跨国公司经营管理带来的主要影响有经营管理风险增加,供需普遍失衡,贸易保护抬头,市场竞争激烈,流动资金紧张,治理有效性成为薄弱环节等。在此背景下,本文就跨国公司在金融危机下对海外子公司的地控制机制给出一些参考建议,希望对跨国公司有所裨益。. 首先,本文从跨国公司母子公司关系角度出发,对跨国公司海外子公司的控制机制进行研究,指出金融危机下跨国公司对子公司的控制调整视不同公司的实际情况应有所不同;但总体上讲,这种调整应使跨国公司对子公司的控制从深度和广度上得到加强,也就是控制应更为紧密、直接。市场方面:有实力的跨国公司可以通过海外子公司对有价值的公司进行收购兼并,加大海外子公司生产、采购本土化的力度,加强对海外子公司技术支持的力度,将转移定价作为调节内部资源配置的有效工具。财务方面,跨国公司对子公司控制应更强调“现金为王”的控制理念。人事方面,跨国公司应加大海外子公司管理人员的本土化力度。知识技术方面,跨国公司应加快对海外子公司技术转让的速度,加大在海外子公司建立研发机构的力度。 然后,本文对金融危机下跨国公司对海外子公司的治理重点如何调控展开研究并提出建议:驱动子公司董事会、高管层应改变工作方式、工作节奏,全面参与战略规划、风险判断与重大决策,推动公司适应金融危机的变革;调整子公司组织结构调整,以在变化的环境中寻求并把握提高相对竞争优势的机会;使合理的长期业绩指标成为子公司建立更为科学准确的绩效考核指标过程中的重点;强化子公司高管薪酬支付的约束条件,强化长期绩效激励,慎用股票期权,更多采取业绩股票或组合的激励方式;强化子公司创新文化、诚信文化、风险控制文化建设。 最后,本文对某跨国公司在金融危机下对中国子公司的调控措施进行了分析,指出了其调控的优势和不足。 
英文摘要:Under the global financial crisis, the backbone of the global economy, multinational corporations are affected extremely serious because the globalization of their production and management fully integrated into the world economy. The financial crisis mainly brings the following effects to multinational corporations’ business including increased management risk, imbalance of supply and demand, the rise of trade protection, more competitive market, tighter liquidity, and weaker effectiveness of corporate governance. In this context, this thesis gives multinational corporations several suggestions on how to adjust the controlling mechanisms to subsidiaries under financial crisis. This thesis, firstly, from the perspective of the relationship between parent and subsidiary companies, points out that the adjustment of controlling mechanism for multinational corporations to subsidiaries under the financial crisis depending on the company's actual situation should be different; but generally speaking such adjustments should make the control be strengthened from both depth and breadth, that is, be more closely and directly. Market: powerful multinational corporations could merge and acquire other valuable overseas companies via subsidiary companies, increase production, purchasing locally at the overseas subsidiaries, strengthen technical support efforts to overseas subsidiaries, make transfer pricing as an effective tool for internal resource allocation. Financially, the multinational control to subsidiaries should be more emphasis on "cash is king". At the aspect of personnel, multinational companies should increase the efforts to the localization of overseas subsidiaries management. Regarding knowledge and technology, multinational companies should speed up the pace of technology transfer to overseas subsidiaries, increase efforts to R & D localization of overseas subsidiary Then, it studies how the multinational corporations to adjust governance focus to overseas subsidiaries and makes recommendations: board of directors, senior management should be driven to change methods of work, pace of work and fully participate in strategic planning, risk judgments and major decision making to make the company adapt to the environment changes in the crisis; adjusting the organizational structure to seek and grasp opportunities to improve the relative competitiveness; making a reasonable long-term performance targets as the most important point of establishing a more scientific and accurate evaluation of performance; strengthening executive payments constraints, long-term performance incentives, being careful if use stock option and applying more performance shares or the combination of incentives; strengthening subsidiaries’ innovation culture, integrity culture, and risk control culture. Finally, the case study on the controlling mechanisms of a multinational to its Chinese subsidiary is analyzed, pointing out its advantages and disadvantages.
