| 中文摘要: | 公司治理是当前国内外理论和实物界研究的一个世界性课题,它伴随着企业制度逐步产生、发展和完善。 一种有效的公司治理应该具有这样的原则或达到这样的目的:在资产委托代理关系中,首先,应该使资源的配置效率最高,产权安排合理,这是企业治理是否优劣的基础;其次,在不同的资源配置模式下,对于企业应该有来自各方面的激励和约束力量。整个制度设计构成一个和谐、相互作用的系统,引导着代理人的行为,使其符合资产委托人的利益和愿望,并且在整个过程中企业治理成本最小。 本文首先在对研究涉及的公司治理理论较为系统的回顾和评价的基础上,提出有效的公司治理应该建立在所有者多元化的基础上,照顾相关利益主体的利益,注重对人力资本的激励,引入市场竞争,创造有效的激励机制和约束机制,以达到相关利益主体之间的相互制衡。其次,根据公司治理有效性的要求,对个案—大港华实公司治理方面存在问题及产生问题的根源进行了分析。第三,按照建立利益相关者之间权利相互制衡机制和绩效激励的原则对大港华实公司治理进行了重新构建。最后,从股权结构、三会一层、激励机制等几个方面提出了完善措施,为我国国有企业公司化发展和现代企业制度的建设提供必要的借鉴。 然而国有企业的治理建设存在着许多复杂因素,有历史的原因也有体制的因素,同时我国国有企业治理理论尚不成熟,实践中缺乏比较成熟的经验可以借鉴,因而文中的某些观点还有待于在实践中进一步检验和探讨。 | |
| 英文摘要: | Corporate governance is a global subject studied by the theoretic circle and the industrial circle at home and abroad. It has gradually appeared, developed and improved with the enterprise system. The effective corporate governance should observe such principle or fulfill such purpose: In the asset principal-agent relationship, deliver the highest efficiency of resource allocation and ensure the reasonable property arrangement, which is the foundation for the quality of the corporate government; and under different resource allocation modes, provide the incentive and constraint forces from various stakeholders for the company. The entire system design constitutes a harmonious and interactive system, and guides the agents to act in the interest and to the wish of the asset principal, and minimize the corporate governance cost in the entire process. This article will first review and comment on the corporate governance theory involved in the study, and argue that the effective corporate governance should base it self on the diversification of owners, consider the interests of relevant stakeholders, give enough attention to the inspiration for human capital, introduce market competition and create the effective incentive mechanism and the constraint mechanism to achieve the mutual balance among relevant stakeholders. Second, this article, according to the requirements of the effective corporate governance, analyze the problems of Tianjin Dagang Huashi Power Generation Co., Ltd. (Dagang), an individual case, in the corporate governance, and identify the causes behind these problems. Third, this article reengineers the corporate governance of Dagang in line with the check-and-balance mechanism among stakeholders and the principle of performance incentive. Finally, this article proposes the improvement measures in such dimensions as the equity structure, the corporate governance organizations and the incentive mechanism to provide the necessary reference for Chinese state-owned enterprises in the corporate system building and the modern enterprise system construction. However, the corporate governance building at state-owned enterprises faces an array of complex factors, both historical and systematic. At the same time, the corporate governance theory for state-owned enterprises is yet to grow mature in China, and still lacks mature experience for reference in practice. Thus, some opinions in this article will still have to be further examined and discussed in practice. | |
