| 中文摘要: | 本文从国有独资公司改革的实践出发,抓住了作为进一步推进我国国有独资公司改革核心的公司治理转型问题进行了研究。论文以我国国有企业公司治理转型面临的共性问题作为出发点,从政府的过度干预与控制、内部人控制和复杂的委托代理关系几个方面揭示了国有企业公司治理转型的必要性和复杂性,进而分析了国有独资公司治理转型的制度背景,提出在这种特殊的制度背景下,由于传统管理体制的惯性和制度依赖,必然存在影响公司治理转型的障碍和制度性缺陷。在制度分析的基础上,论文结合国有独资公司治理的实际,指出了国有独资公司治理转型的动因、方向和实施模式。最后,论文结合中国交通建设集团的案例对国有独资公司治理转型问题进行了分析。 在对论文研究主题进行理论分析的基础上,可以对国有独资公司治理转型的基本逻辑做出判断。国有独资公司最为典型的制度背景就是行政型治理的存在,这种制度背景决定了国有独资公司治理呈现出行政型主导、政府过度干预与控制、所有者缺位和内部人控制等典型的问题。而要实现国有独资公司治理从行政型治理向经济型治理的顺利转型,必须首先解决好这些关键问题。进而结合自身的行业特征、历史背景以及管理体制状况等,选择适合的公司治理转型路径。 论文结合中国交通建设集团的治理转型案例分析,也进一步验证了文中对国有独资公司治理转型的理论分析和逻辑分析,充分认识到市场化、资本社会化和国际化对实现国有独资公司实现治理转型具有积极的推动作用。 最后,在对本文的研究结论进行概括总结的基础上,结合国有独资公司管理体制改革的实践和公司治理的演进历程,探索性地提出了进一步的研究展望。 | |
| 英文摘要: | From the perspective of wholly state-owned enterprises’ reform practice, the dissertation grasps the focus of corporate governance transformation to study. It takes the common problem of state-owned enterprises’ corporate governance transformation as starting point, and discloses the necessity and complexity of corporate governance transformation from the aspects of over control and interference, insider control and complicated agent relations. Then the institutional background of state-owned enterprises’ corporate governance transformation was analyzed, on the basis of which the inertia of traditional management system and institutional path dependence decides the obstacle and barrier to corporate governance transformation. From all above analysis, the dissertation points out the cause, direction and mode of corporate governance transformation, which were further analyzed with the special case of China Transportation Construction Group. On the basis of the theoretical analysis of the research topic, we can judge the basic logic of wholly state-owned enterprises’ corporate governance transformation. The typical institutional background of wholly state-owned enterprises’ is the existence of administrative governance, which leads to the typical problem of administrative control, government interference, owner loss and insider control exist in wholly state-owned enterprises. So it is important to solve these problems firstly to establish the transportation from administrative governance to economic governance. On the basis of case study of corporate governance transformation of China Transportation Construction group, the above theoretical and logical analysis was proved. Which points out we must be fully considered the importance of market development, capital socialization and internationalization to corporate governance transformation. Finally, on the basis of the summarized conclusion, considering the practice of wholly state-owned enterprises’ reform and the evolution of corporate governance, the research prospects were pointed out. | |
