中文摘要:21世纪是知识经济的时代,科技创新能力将成为国际竞争的主导因素。作为科技创新核心的高新技术的发展,将会以强大的影响力和渗透力改变世界经济发展与竞争的格局。中小型高新技术企业,不仅是大型高新技术企业成长的必经阶段,而且成为我国科技创新的重要力量。 自上世纪90年代以来,我国的中小型高新技术企业得到迅速发展。但是很多企业在成长过程中,人才流失以及对人才难以形成有效激励成为企业创新能力弱和缺乏竞争力的主要原因。中小型高新技术企业对人才的高度依赖,是由于其高创新性、高风险性和高成长性的特征所决定的。他们在企业里是核心员工并承担重要责任,他们要求分享企业成长带来的利益,所以传统的激励制度已经很难起到作用。因此,企业要把核心员工的利益和企业的利益结合起来,建立适合中小型高新技术企业特征的留住人才和激励人才的制度。 本文正是在这种背景下,研究中小型高新技术企业发展的特征,总结出人才问题是中小型高新技术企业发展的关键因素,在此基础上,引入股权激励方法。而中小型高新技术企业大多数都是非上市企业,所以很难采取上市公司通常使用的股权激励模式。因此通过研究适合非上市企业的股权激励模式,分析适合中小型高新技术企业的股权激励,对促进中小型高新技术企业发展具有非常重要的现实意义。 本文首先介绍了股权激励的概念和内涵以及股权激励的基础理论,然后探讨中小型高新技术企业发展的主要特征,深入分析人才问题是其发展的关键因素,进而在股权激励理论研究的基础上,讨论股权激励在解决人才流失和对人才的激励方面提供一种切实可行的路径,通过导入股权激励,主要指向为建立企业和员工的利益共同体,在理论角度为有效解决企业的发展问题提供新的思路。在此基础上,进一步分析非上市企业的股权激励模式,提出适合我国中小型高新技术企业股权激励策略。最后,结合一个中小型高新技术企业实施股权激励策略分析,为中小型高新技术企业实施股权激励提供可资借鉴的案例。 关键词: 中小型高新技术企业 股权激励 人才 
英文摘要:The 21st century is the era of knowledge-based economy, innovation capacity of science and technology will become the dominant factor of international competition. That scientific and technological innovation is the core of high-tech development , will change the world's economic development and competition by powerful influence and penetration. Small and medium-sized high-tech enterprises, not only are a necessary stage of growth to large high-tech enterprises, but also become an important force for China's science and technology innovation. Since the 1990s, China's small and medium-sized high-tech enterprises have developed rapidly. In their growth process, these enterprises are restricted by the problem of talent loss and non-effective incentive, which leads to weak innovation capability. These enterprises highly depend on the talents, because of its high innovation, high-risk and high-growth characteristics. In enterprises, talents are the core staff and have important duty. So they want to share the benefits of business growth. The traditional incentive system has been difficult to them. The enterprise must build appropriate system to retain talents and motivate talented people, which combine the interests of the core staff with the enterprise. It is based on this background that I research into the development of features about small and medium-sized high-tech enterprises. I sum up that the problem of talents is the key factor of development of these enterprises. Based on of this, the method of equity and share incentive is introduced. The majority of enterprises are non-listed, it is difficult to use the equity and share incentive model of listed companies. It is very important practical significance that we research for equity and share incentive model of non-listed companies and analyze suitable equity and share incentive model of small and medium-sized high-tech enterprises. Therefore, this way can promote their development. This paper firstly introduces the concept and connotation of equity and share incentive and the basic theory. Then this paper explores the main features of small and medium-sized high-tech enterprises, and more deeply analyzes that the problem of talents is the key factor in their development. On the basis of theoretical research, this paper discusses solving the brain drain of talents and the incentive to provide a practical path. Equity and share incentive establishes the community of interests between enterprises and employees. Equity and share incentive provides new Line of thought for effective solution to the development of enterprises from theoretical point of view. On this basis, this writer analyses equity and share incentive model of non-listed companies. Then this paper puts forward available equity and share incentive strategy of small and medium-sized high-tech enterprises in China. Lastly, with case analysis about equity and share incentive strategy of a small and medium-sized high-tech enterprise, this paper provides to launch funding from the case for these enterprises.
