| 中文摘要: | 中国移动通信集团,注册资本518亿元人民币,截至2008年9月30日,资产规模超过8,000亿元人民币,在岗职工15.84万人,客户总数超过4.5亿户,每月净增客户数超过700万户,是全球网络规模、客户数量最大的电信运营企业。中国移动已连续9年被美国《财富》杂志评为世界500强,最新排名第99位。中国移动的品牌价值不断上升,连续第三年进入《金融时报》全球最强势品牌排名,品牌价值(572亿美元)列第五位,在全球电信品牌中排名第一。作为世界上最大的通信企业,同时中国移动的海外上市成功上市,使该企业具有一定典型研究价值。 中国移动通信集团是由国家出资设立的中央直属企业,属于国有独资公司,由国资委直接管理。中国移动通信集团间接持有在香港和纽约上市的中国移动有限公司74.25%的股份。中国移动有限公司是央企控股的海外上市公司,根据海外法律要求,公司设有董事会,下辖审计委员会等专业委员会,聘有符合法定数量的独立董事,公司法人治理结构符合上市公司治理要求。但由于公司控股股东的央企性质,公司的人事任命和经营都受到严重的行政干预,如上市公司高管由控股国企高管兼任或来自原国家相关职能管理部门,并且公司董事长同时兼任总经理。中国移动有限公司的行为同时受到国家以法律为形式的干预和行政主导型干预的影响。 文章从分析中国移动的股权结构及其特点入手,以上市公司部分为突破口介绍了公司的治理现状。指出中国移动较为完善的治理结构的表象及治理效果低效的实质及形成原因。 接着介绍了行政干预在我国长期存在的现状,以中国国资委及相关政府部门对中国移动高层人员任免,战略决策的制定等公司具体事务进行行政干预的案例,分析了国家对企业实施行政干预行为的局限性及对企业自治、公司利益相关者权益的危害。通过美国国会颁布的《萨班斯法案》要求的内部控制在中国移动实施的实例,描述了内部控制这种管理手段在公司内是如何实施的,以及如何提高公司的治理水平。这种干预方式并未针对公司的具体事件,而是形成了一套行之有效的规则,通过规则在公司内部的运行,达到特定的干预目的。最后对全文进行了总结,提出了本文的创新及不足之处。 本文采用理论分析、案例分析相结合的方法,对现实问题进行了论证与探讨,有一定的实际意义。 | |
| 英文摘要: | China Mobile Communications Corporation is the Enterprise directly under central government, which is a solely state-owned company, directly managed by SASAC. China Mobile Communications Corporation indirectly holds a 74.25% stake in China mobile limited which went public in Hong Kong and New York Stock Exchanges. China mobile limited is the overseas listed company which belongs to the central holding enterprise, as required by overseas laws; Company has the Board of Directors, which is composed of Auditors Committee and other the Professional Committees etc, and employed a Quorum of independent directors. Corporate juridical person governance structure Complied with the governance requirements of listed companies. Company's controlling shareholder is the State-owned enterprise, which intervenes to the Appointments and operation of company, such as Executives of Listed Company is from holding enterprise or relevant state functional management departments, with the chairman of company concurrently serving as General Manager. Therefore, China mobile limited aggregates the law-dominated intervention and Executive-dominated intervention. Article started from analyzing the Ownership Structure and Characteristics of CMCC, taking listed company section as a breakthrough point, introduced the Status of corporate governance. It indicated the relatively perfect Governance Structure representation and the fact of inefficient governance in china mobile company and the reason. Administrative interference in China's long-standing. Taking the Administrative intervention in the appointment and removal of senior officers of China Mobile, Strategic decision making and other specific affaires by SASAC and Relevant government departments as a case, it analyzed the limitations and harmfulness to company autonomy and stakeholders. United States Congress enacted the "Sarbanes-Oxley Act," mandating the implementation of internal control in China Mobile. This paper describes how to implement internal control this management tool within the company, as well as how to improve the corporate governance standards. Internal control will not interfere with company's concrete events, but formed a set of effective rules which is operated in company in order to achieve the aim of intervention. Finally, it summarized the point of article and indicated the Innovative and shortcoming of this paper. Combining theoretical analysis with case analysis, this paper discussed and explored the real problems and had much practical significance. | |
