中文摘要:在当今快速发展和高度竞争的市场空间中,酒店业的竞争显然已进入白热化阶段。随着酒店市场的完全放开,国际酒店业资本和中国民间资本大举进入中国酒店业市场,国有酒店作为中国酒店业的主要组成部分将同它们一样站在同一起跑线上,参与竞争。但是国有酒店的现有竞争能力还不足以在竞争中获得主动。越来越多的实践证明,酒店经营成功的关键在于合理的股权结构、清晰的治理结构和科学的决策机制,以及在此基础上形成的具有自己特色的管理模式。 近年来,公司治理已成为学术界一个重要研究方向,并逐渐被引入到企业的治理实践中。但是,国内无论是从事学术研究的学者还是酒店管理的从业者对如何解决国有酒店面临的问题,都没有从公司治理层面进行过系统研究。这在一定程度上限制了现代公司治理理论在酒店行业的发展和应用,也使人们对国有酒店所存在问题的理解停留在经营管理的表面层次。 本文率先运用公司治理理论系统地对国有酒店的治理现状进行多角度分析,从国有酒店的治理演进、内部治理、外部治理、治理模式对治理成本与经营绩效的影响等四个维度分析总结出国有酒店的五个特征。针对国有酒店治理五个方面的特殊性,笔者提出国有酒店治理的治理走向,即从行政型到经济型治理、从单体酒店治理到酒店集团治理、从内部治理到内部和外部的双重治理。通过细致剖析国有酒店这一特殊企业群体在治理方面体现出的特殊性,全面阐述国有酒店治理结构重建与机制创新,为深化国有酒店的改革与转型进行先导性的理论探索。 本文共分七章。第一章为引言部分,提出国有酒店治理问题的选题背景及其理论意义和实践意义,在此基础上确定论文研究内容和希望达到的目标,明确本文涉及的基本概念,指出本文的研究方法和创新之处。第二章为文献回顾,梳理国内外学者对公司治理理论的主要研究成果,同时对酒店业治理的相关研究论述进行回顾评述。第三章中国国有酒店内部治理特殊性分析。本章主要通过治理结构与权力配置、股东与股东权益、董事会的结构与运行、监事会的监督、经营层的选择与激励约束、治理文化与伦理等六个方面与西方发达国家的酒店业进行对比分析,阐述中国国有酒店这一特殊实体与国际酒店集团相比所呈现出的治理特点,以及由于这些特点所导致的结果。第四章为中国国有酒店外部治理特殊性分析。本章主要从政府在国有酒店治理中的功能定位与治理效应、国有酒店的机构投资者、国有酒店业的兼并与收购、国有酒店的信息披露、国有酒店网络治理的驱动要素与实现机制等五个方面进行分析,并作深入的国际比较。第五章对中国国有酒店治理成本与经营绩效的关系进行了研究。本章从治理成本与经营绩效的关系入手分析中国国有酒店的特殊性,从中探究中国国有酒店不同治理模式对治理成本与经营绩效关系的影响。第六章中国国有酒店治理模式创新:治理结构重建与机制创新。本章在分析归纳国有酒店治理特殊性的基础上,尝试着从国有酒店经济型治理模型的建立以及治理结构重建和机制创新入手,构建合理和有效的治理结构,进行创新机制设计,最后以海天大酒店为例,进行典型案例研究。第七章结论及尚待研究的问题,指出国有酒店未来发展方向,总结提炼本文的研究结论,并指出研究中的不足和有待进一步研究的问题。  
英文摘要:In a fast developing and hotly contested world market, competition in the hospitality industry has become intense, even cutthroat. As China strives to fully open its hotel market, international capital as well as domestic private capital is flooding in. State-owned hotels -- the greater and most important part of China’s hospitality industry -- will need to knuckle down and do battle on the same ground. But at the moment, state-owned hotels don’t have the power to maintain their leading position. More and more, practical experience proves that the key points of successful operation are reasonable ownership structure, clear corporate governance, a scientific decision-making mechanism and the unique management model drawn on those considerations. In recent years, corporate governance has become an important study module in the academic field, but is only gradually being applied in business. But, neither academics nor hospitality professionals have made a systematic study of how to resolve the problems hotels encounter when facing up to corporate governance. This constitutes a drag on the development and application of corporate governance theory in the hotel industry and limits people’s understanding to a superficial view of the problems they face. This paper applies the corporation governance theory to state-owned hotels. It is the first to analyze the situation from a variety of perspectives and an overview of the corporate governance needs of this special enterprises. From the evolution of state-owned hotels to internal and external governance, and the influence of the mode of governance on costs and management performance, the author summarizes 5 features unique to state-owned hotels. The author then proposes a direction for the improvement of state-owned hotels – an economic model of governance .From individual hotels to hotel chains, from internal to external, the author discusses in detail the process of reconstructing governance and innovating systems,in order to explore the theory of the reformation of state-owned hotels . The dissertation evolves over seven chapters. Chapter 1: The introduction; deals mainly with the background of the topic; the practical and theoretic significance which shapes the instructive content; and the objectives; clarifying basic concepts and suggesting learning methods and innovation. Chapter 2 reviews historical documents that principally deal with a brief review of corporate governance theories from scholars at home and abroad and concurrently introduces a study of results in international and domestic hotels. Chapter 3 looks at internal governance in the state-owned hotel, including such aspects as governance structure and power deployment, the rights and interests of shareholders, the structure and operation of the board of directors,the supervisal of the board of supervisors,the selection and prompting of management and governance culture. Through the six aspacts ,the author wants to set forth the state-owned hotels’ governance characteristics particularity compared with the international hotel groups,and illustrate the results because of these characteristics. Chapter 4 covers features of external governance in the state-owned hotel. The discussion covers government’s involvement and the effect of this on governance, the role of institutional investors, merge and acquisition, disclosure of management performance information,the motivation and realization for an achievement of a network governance. Chapter 5 is an analysis of the relationship of governance cost to management performance in state-owned hotels. Chapter 6 looks at structure and mechanisms employed in stated-owned hotel’s governance structure. Based on this analysis, the author proposes an economical way to reconstruct governance and provide for system innovation. The chapter ends with a look at the relevance of the Hai Tian Hotel’s experience. In the 7th and concluding chapter the author paints his vision of the future development of state-owned hotels. A development that will be still-born unless the research and models discussed in this paper are urgently applied throughout the state-owned hotel system.
