中文摘要：	从国际上看，公司治理是一个从理论到实践都非常丰富的研究领域，并且学者和公司的管理者们在这个领域己经积累了相当多的研究成果。在我国，随着现代企业制度的建立和推广，人们逐渐意识到了公司治理对于我国企业最终绩效和竞争力的决定作用。商业银行作为经营信用的特殊企业，在一国的经济发展中起着至关重要的作用。目前我国商业银行改革正在不断走向新阶段，然而对于银行治理效率却很少有人关注。本文的出发点也正是要研究商业银行公司治理与银行绩效的关系，从而提起人们对银行公司治理效率的关注，并为进一步提高和完善银行公司治理做出贡献。 本文在总结前人的基础上，运用理论分析与实证检验相结合的方法，分析检验了我国股份制商业银行公司治理与银行绩效的关系。具体来讲，本文分为六章：第一章介绍了研究背景和现状，并对国内相关领域的研究做出了综述，并在第一章结尾处对本文的研究范畴加以界定。第二章从理论上探讨公司治理与银行绩效的关系。第三章探讨股权结构对银行绩效的实证分析。第四章从董事会角度分析公司治理对银行业绩的实证研究。在对我国股份制银行进行统计分析和计量检验后，得出了基本判断。第五章主要论述了管理层激励与银行绩效的关系，提出了在商业银行引入EVA的激励措施，并提出了在我国商业银行完善EVA激励措施的相应建议。文章采取了理论分析的方法，并提出了完善激励层激励的激励计划。第六章再次总结和阐述了文章的主要结论和观点，并总结了本文的贡献和今后的研究方向。
英文摘要：	Corporate governance is a field stimulating abundant of scholars world wide to investigate in both theoretical and practical role. Searcher and managers of firms have accumulated rich experience about it. In China, along with the establishment and expansion of the modern business enterprise system, more and more people get aware of the importance of corporate governance, which effects a company’s performance and competitive power. The commercial bank, a special kind of corporate living on operating currency, have always played the key role in one county’s economical development. Nowadays, the innovation of commercial bank in China flourishes. Comparatively, few attentions are paid on the efficiency of corporate governance. The point of this paper is to do some research on the relationship of corporate governance of commercial banks and its performance, by which I want to push the efficiency of banks corporate governance to the view of more people, and contribute to the perfection of banks corporate governance if possible. This paper summarizes predecessor's foundation. Using the method of theoretical and practical analysis, the author analyzes the relationship between the corporate governance of joint-stock commercial bank and its performance. Concretely speaking, this paper can be divided into six parts: Chapter 1 introduces the research background and present condition in brief, and finishes an overview to the local and foreign research of related realm. There is also a definition of items referred at the end of chapter 1. Chapter 2 emphasizes the relationship between the bank results and corporate governance. Chapter 3 illustrates shareholder structure of Chinese joint-stock commercial bank. Then the author checks up his conclusion using the data of some representative banks. Chapter 4 is to explain the effect of board of directors to the bank accomplishment; four judgments are given after statistical analysis at last. Chapter 5 mainly discusses manager's encourage and the bank achievement. The author makes some possible advices. In chapter 6, the main conclusions and standpoints are listed, so be the contribution of this paper and the orientation of later research.
