中文摘要:改革开放以来,中国国有企业改革取得了巨大成绩,为国家经济发展做出了巨大贡献。国有企业改革一直是中国经济体制改革的一个重点、难点问题。随着改革的深入,国有企业公司制股份制改制加快推进,国有企业领导体制从形式到内容都发生了深刻的变化。在现代企业制度下,如何完善我国国有企业领导体制成为深化国有企业改革的一项既重要、又紧迫的课题,这也是本文研究的一个主要目的。 本文坚持理论探讨和实践研究相结合,学术研究与实务操作相结合,背景研究与发展阶段相结合,一方面对涉及到国有企业领导体制改革的背景过程、政策要求、法律法规和学术理论进行全面系统的归纳总结,一方面从工作实践出发,对实际工作中存在的一些问题和矛盾进行了深入分析。从党和国家的政策要求、法律法规来看,国有企业党组织、公司治理和职工代表大会同时对国有企业的改革发展和日常经营发挥重要影响和作用。在研究中,本文重点阐述了公司制国有企业领导体制的三个要素——党的领导、公司治理和职工民主管理,及其之间的关系。通过研究得出结论:我国国有企业的领导体制既要符合中国特色社会主义基本制度,又要适应现代企业制度对公司治理结构的要求,进而得出了“党的领导是关键、公司治理是核心、民主管理是要求”的中国国有企业领导体制框架,并对这个具有中国特色的国有企业领导体制在实践中如何规范化运行提出了看法和建议。 国有企业领导体制是一个复杂的体系,既要符合理论上的规律,又要适应现实中的要求;既要考虑个体因素的影响,又要总体上进行把握。对此,笔者在本文中采取分别论述、综合分析、纵深探讨的路径,力争对我国国有领导体制进行全面、系统的研究,希望能够得出符合客观实际的结论,为完善我国国有企业领导体制提供一种思路。  
英文摘要:Since the reform and opening, reform of Chinese state-owned enterprises has achieved great successes. The reform of the state-owned enterprises has been an important and tough issue in the reform of Chinese economic system. With the in-depth implementation of the reform, the reform of shareholding system of the state-owned enterprises is accelerated, while the leadership mechanism of the state-owned enterprises has undergone tremendous changes in terms of formality and substantiality. Under modern enterprise management system, how to improve and complete the leadership Mechanism of the state-owned enterprise is not only an important but also urgent topic in the course of deepening the reform of the state-owned enterprises. This is also one of the main research purposes of this paper. This dissertation combines theory study with practice research, as well as academic study with work practice. On one hand, this paper made comprehensive summary on the policy requirements, laws and regulations, academic theories concerning the reform of leadership mechanism of state-owned enterprises; on the other hand, it made penetrating analysis on the problems and conflicts in the practice. From the policy requirements and laws and regulations, the Party committee in the state-owned enterprises, company management body and workers congress all play important roles in the development of reform and daily operation. This paper elaborates on the three factors of the management system of the state-owned enterprises, namely the relationship amongst leadership of the Party and the company governance and management of worker democracy. The paper gives the conclusion that the leadership mechanism system of Chinese state-owned enterprises shall not only conform to the basic system of socialism with Chinese characteristics but also function sound with the requirement of company administration structure based on modern enterprise system. The framework of the Chinese state-owned enterprise leadership mechanism is summarized as “the Party’s leadership is the key, the company management is the core while the democracy is the requirement”. This paper also brings comments and recommendation on how to operate, in practice, the leadership mechanism of the state-owned enterprises with Chinese characteristics. The leadership system of sted-owned enterprise is a very complicated issue that needs to be treated both in theory field and practice. As for this, the author try his best to study this topic via separate and comprehensive methods. Meanwhile, the advise about the topic were hoped to be practical and useful.
