中文摘要：	作为风险投资活动的必备过程和风险控制的第一环节，尽职调查是风险投资公司在投资前期全面了解、发现、分析被投资对象的重要工作程序，如何做好尽职调查中的风险控制是投资的重要内容。很多时候，项目投资后会暴露出尽职调查中大量未认知的风险，而这些风险大多数是人为可控的，并对投资的成败产生了重大影响。作为本人分管的中海创业投资有限公司投资和财务两大业务部门，尽职调查工作是我们日常开展对外投资活动过程中的重要内容，如何搞好尽职调查工作，避免工作中主观因素造成的风险，以及对于尽职调查工作中可控部分的风险控制是本文研究的问题，笔者希望通过系统性的研究对我们的工作取得一些现实意义的构想，以指导我们日后的工作。 本文从一般理论角度出发，结合对国内外研究成果和实践经验进行系统提炼与综合创新，对风险投资中的尽职调查主要的职能、工作内容及在此过程中所可能遇到的投资风险进行了系统全面的阐述。文中尤其对尽职调查阶段所可能遇到的投资风险进行了全面的分析和研究，系统分析了风险产生的原因、后果和应对方式，并结合信息不对称理论与代理理论进行了深入探讨。分析过程中以深圳路安特公司的投资实例，介绍了中海创业投资的风险投资体系和尽职调查业务的操作方式，深入探讨了尽职调查在控制项目投资风险中的作用，针对如何完善中海创业投资有限公司的尽职调查工作，做好尽职调查中的风险控制，提出了相应的风险控制策略和完善措施。本文的结论为风险投资如何通过在尽职调查阶段，控制投资风险提供了系统的思路和实用的借鉴工具。
英文摘要：	As the essential process and risk control of the first part of venture capital activities, the due diligence is an important comprehensive process for understanding, discovery and analysis investment target procedures. How can a company do well in the due diligence is the important content of investment risk control. Usually, after the due diligence there will be much risk exposed which is not perception risk and a considerable portion of these risks is artificially controlled. But this risk has had a major impact on future success or failure of investment. In the investment department and finance department I am in charge of in the China Overseas Venture Capital Co. ltd., the due diligence is an important part of our daily investment activities process. How to improve due diligence, and how to avoid the subjective factors risk, and the controllable risk part of the due diligence work is the issue the paper will research. I hope that a systematic study of some of our work to get the practical significance concept to guide our future work. The paper start from the perspective of general theory, combined with domestic and foreign research results, make a system and detail describe of the due diligence of the main functions, work content and the investment risk may encounter in the process. Especially, the paper conducts a comprehensive analysis and research of the investment risks that is likely to face the due diligence stage. The paper make systems analysis the risk causes, consequences and coping style, and make deeply discuss combined with the risk of asymmetric information theory and agency theory. In the process, we use Shenzhen Lu Ante as an instance to introduce the venture capital system and mode of operation due diligence services of China Overseas Venture Capital Co. ltd., And make deeply discuss the role of due diligence in controlling investment risk, then puts forward strategies and sound risk control measures of how to complete due diligence work and how to do well of the due diligence investment risk control. In last the conclusion can provide the system thought and practical reference tool for how to make investment risks control in due diligence phase.
