| 中文摘要: | 依照煤炭工业“十一五”发展规划,为全面落实科学发展观,加快培育大型煤矿和企业集团,充分发挥大型煤矿企业理念、技术、管理和资金优势,提高煤炭产业集中度、产业水平和安全水平,促进煤炭产业结构优化升级,加速国有大型煤矿对中小煤炭企业的并购,全国煤炭行业开始进行并购整合。根据山西省政府的统一安排,阳煤集团煤炭行业发展迅速,收购和兼并煤炭企业工作取得初步成效,煤矿数量达到11个主力生产矿井和36个小煤矿,阳煤集团直管煤矿地域由8个县市区增加到目前的16个县市区,到2010年预计生产和基建规模将达到亿吨左右。由于联营兼并的煤矿大多管理落后,质量管理机构不健全,质量管理意识较差,如果不加强对这些煤矿的煤炭质量管理,势必会影响阳煤集团“阳优”品牌的市场信誉。针对目前联营兼并煤矿的煤质管理存在的问题,如何建立一种有效的质量管理模式,已成为阳煤集团面临的现实问题。基于这一考虑,本文从分析收购兼并煤矿的管理模式入手,结合公司已有的煤质管理经验,论述如何以质量管理理论和并购理论为指导,创新煤质管理思路,并在部分煤炭企业进行模拟运作。通过本论文,可为同类型国有煤炭企业的质量管理工作提供参考或借鉴。 本论文共分六个部分。第一章绪论,主要阐述本文的研究背景,并提出所要研究的问题,介绍本文的研究意义、研究方法和研究内容。第二章有关基础理论,分别阐述了质量管理理论,为分析阳煤集团联营兼并煤矿的质量管理奠定理论基础。第三章,分析阳煤集团联营兼煤矿的背景、并购后企业存在的问题,并对质量管理方面存在的问题进行深入分析探讨。第四章,对阳煤集团联营兼并煤炭企业的管理模式的构建及分析,并在部分煤矿企业进行了实践运作。第五章,提出阳煤集团联营兼并煤矿企业质量管理模式的支持体系,包括企业构建组织保障体系建设、质量管理制度建设及质量文化建设。第六章结论,本论文在理论联系实践方面进行大胆尝试,对同行业联营兼并煤炭企业的煤质管理工作具有一定的借鉴意义。 | |
| 英文摘要: | In accordance with the coal industry, "Eleventh Five-year" development plan, in order to comprehensively implement the scientific concept of development, accelerate the development of large-scale coal mines and enterprise groups, and give full play to large-scale coal enterprises philosophy, technology, management and capital to improve the coal industry concentration, industry level and security levels, and promote the industrial structure optimization and upgrading of coal to speed up large state-owned coal mines for small and medium enterprises mergers and acquisitions, the national coal industry began merger integration. According to the unified arrangement of the Shanxi provincial government, Yangquan Coal industry developed rapidly, mergers and acquisitions of coal enterprises achieved initial results in the number of coal mines to produce 11 main and 36 small coal mines, Yangquan Coal Mine area straight pipe from eight counties and cities to the current 16 counties by 2010, projected production and infrastructure will reach 100 million tons or so. As the joint acquisition of coal mines are mostly backward management, quality management institutions are not perfect, quality management, are less aware of, if not tighten quality control of coal mines is bound to affect the Yangquan Coal Industry "Yang superior" brand reputation in the market. View of the current joint venture acquisition of the coal mine problems in the management, how to establish an effective quality management model has become a real problem faced by Yangquan Coal Industry. Based on this consideration, this thesis from the analysis of mergers and acquisitions start with mine management model, combined with the coal companies have management experience, discusses how the quality management theory and M theory as a guide, innovation and coal quality management ideas, and in some coal enterprises conducted a trial run. Through this thesis, for the same type of quality management of state-owned coal enterprises to provide information or reference. This thesis is divided into six parts. Introduction Chapter focuses primarily on the background of this research and put forward the need to study the issue, introducing the meaning of this research, research methods and research content. The second chapter on the basic theory, expounded the theory of quality management theory , mergers and joint venture for the analysis of Yangquan Coal Mine laying the theoretical foundation of quality management. Chapter III, analysis Yangquan Coal Mine Joint Venture and the background, M & A process and means, the combined business problems, and quality management problems that exist in depth analysis and discussion. The fourth chapter of the Yangquan Coal joint venture acquisition of coal enterprises to build quality management models and analysis, and in some of the practical operation of coal mining enterprises. Chapter V presented Yangquan Coal Mine Joint Venture acquisition enterprise quality management support system, including the building of corporate quality culture, quality management system construction and building organizational security system. Chapter VI the conclusions of this thesis theory with practice in a bold attempt to right the same industry of coal quality management has some referential significance. | |
