| 中文摘要: | 城市商业银行作为地方性商业银行,自成立之初,一直处于十分尴尬的夹缝地位,四大国有商业银行及全国性股份制商业银行一直在蚕食其生存空间。中国加入WTO至今,对金融业的保护已经到期,外资银行将享受同国内银行相同的国民待遇,城市商业银行将不仅仅面临国内银行的竞争压力,更要直面外资银行的竞争。中国银监会已发布了《关于城市商业银行监管和发展的纲要》,城市商业银行的发展将面临重大的战略抉择,选择什么样的发展战略,将决定城市商业银行的发展方向。 现实情况下,城市商业银行的发展将有三种选择,第一、国内城市商业银行间的战略重组;第二、引进境外战略投资者;第三、城市商业银行自身做大做强。三种选择各有利弊,本文从管理、成本、实施难度等各个方面,阐述了三种选择的优缺点,并重点对引进境外战略投资者进行了研究。我国监管机构对城市商业银行引进境外战略投资者持明确的支持态度,监管部门要求,对战略投资者的引进,不仅仅在资金上财务上与我们的银行合作,更重要的是要提供先进的经营理念、管理经验、技术和专才,帮助我们改善风险管理和内控机制,改革股权结构,优化法人治理结构,已经有九家城市商业银行成功的引入了战略投资者。 本文利用利用定性分析和定量分析的方法,采用理论和实践相结合研究模式,结合我国金融业的发展背景和金融环境,对城市商业银行的发展提出了战略性建议。通过分析国内城市商业银行引入境外战略投资者的经验教训,对城市商业银行境外战略投资者的引进方案进行了设计,提出了操作性和实用性较强的研究方案。通过案例分析,以青岛市商业银行为例,利用SWOT分析工具,对青岛市商业银行的发展历程、发展阶段、发展机会、存在问题、面临的机遇和威胁等各个方面进行了全面地分析,对青岛市商业银行的发展做出了战略性建议,指出了青岛市商业银行境外战略投资者引进方向,并构建了青岛市商业银行境外战略投资者的引入基本框架。本文的研究有助于青岛市商业银行成功的引入战略投资者,同时对其他城市商业银行的境外战略投资者引入工作亦有借鉴意义。 | |
| 英文摘要: | Abstract As a local commercial bank, the city commercial banks (“CCB” in short hereinafter) have been in a difficult situation since its foundation lying in that they have been competing with the four big state-owned commercial banks and the national wide joint stock commercial banks. Since entering into WTO, the protection period for the financial institutions has been expired and the foreign banks will enjoy the same rights as the domestic banks. So the CCBs are now facing challenges from not only the national banks but also the foreign banks. The China Banking Regulatory Commission has issued The Guidelines for City Commercial Banks’ Supervision and Development and the CCBs have to make an important decision on how to develop strategically and where to develop. In fact, there are 3 choices for the CCBs, firstly, strategic restructure among the domestic CCBs; secondly, introduction of the foreign strategic investors; thirdly, development by the individual CCB itself. There are advantages and disadvantages of these 3 choices, which are illustrated in this article from aspects of management, cost and feasibility ect.. The emphasis is laid on the 2nd choice—to introduce foreign strategic investors. The regulatory bodies have shown definite support to the CCBs to introduce foreign strategic investors and put forward clear requirements for the quality of the foreign strategic investors, which is that the foreign investors should provide not only fund support, but also the advanced operation system, management experience, technology and experts to improve the risk management and internal control system, reform the shareholding structure and perfect the governance structure of the CCBs. Up to now there are 9 CCBs having successfully introduced the foreign strategic investors. This article makes strategic suggestions to the CCB’s development with the method of qualitative and quantitative analysis, combination of the theory with practice and consideration of the development and background of Chinese financial system. Through the explanation on the experience of the CCB’s introduction of foreign strategic investors, this article provides possible plans and practical implement measures for the CCBs who intend to introduce foreign investors. Taking Qingdao CCB as an example, the article fully analyzes its development history, development stages, opportunities, existing problems, challenges and threats with SWOT method, makes suggestions on its strategic development, points out the direction of the introduction of foreign investment and finally forms the framework of the introduction. Hopefully the article will help Qingdao CCB successfully introduce the foreign strategic investors and provide some experience and methods for the other CCBs which will introduce the foreign investment. | |
