| 中文摘要: | 随着资本市场的健康发展,越来越多的优质企业通过实施并购战略实现外延式增长,并购可以快速让企业实现规模扩张、协同发展以及突破行业壁垒,进而提升企业的价值和竞争力。但是并购是一项复杂的业务活动,在整个实施过程中的各个环节均会面临财务风险,能否有效进行财务风险管理,会在很大程度上影响并购项目的成败。因此,企业需要制定合理的财务风险管理方案,有效地识别、评估财务风险,并采取恰当的财务风险应对措施,才能为并购活动的顺利实施提供保障。 DT公司作为细分领域的龙头企业,已经并购了多家企业,这其中既沿着产业链进行上下游并购,也为了丰富自身的产品体系进行了横向并购,未来将会继续通过并购的方式扩大规模、实现自身的战略目标。本文通过对DT公司并购YBC公司这一案例进行深入分析,发现了DT公司在并购财务风险管理过程中的问题,并针对问题提出了解决方案,为DT公司后续并购中的财务风险管理提供参考和借鉴。 本文通过理论联系实际,深入分析DT公司在并购财务风险管理中存在的问题,力求提出问题的解决方案。首先,本文在绪论部分介绍了研究背景和研究意义,对国内外研究现状进行总结,并阐述了本文的研究内容、研究方法以及创新点。其次,介绍了并购、财务风险的相关概念及分类,同时对依据的相关理论基础进行说明。再次,介绍了DT公司的基本情况、DT公司并购业务现状以及DT公司并购管理现状。接着文章对YBC公司的情况、并购中财务风险管理过程进行论述,分析DT公司在财务风险管理过程中存在的问题。最后,以问题为导向,结合DT公司的实际情况提出有针对性的建议,希望能为DT公司未来并购过程中的财务风险管理提供一些参考。 | |
| 英文摘要: | With the healthy development of the capital market, an increasing number of high-quality enterprises have implemented merger and acquisition (M&A) strategies to achieve external growth. M&A enables companies to rapidly expand their scale, realize synergies, and overcome industry barriers, thereby enhance corporate value and competitiveness. However, M&A is a complex business activity, and financial risks may arise in every stage of its implementation. Whether financial risks can be effectively managed will largely determine the success or failure of an M&A project. Therefore, enterprises must formulate rational financial risk management strategies, effectively identify and assess financial risks, and adopt appropriate countermeasures to ensure the smooth execution of M&A activities. As a leading enterprise in its niche sector, DT Company has completed several M&A transactions, including vertical acquisitions along its industrial chain as well as horizontal acquisitions aimed at diversifying its product portfolio. In the future, the company will continue to expand its scale and achieve its strategic objectives through M&A. This study conducts an in-depth analysis of DT Company’s acquisition of YBC Company, identifies the problems in DT Company’s financial risk management during the M&A process, and proposes targeted solutions. These findings are intended to provide valuable references and insights for DT Company’s future M&A financial risk management. This thesis combines theory with practice to analyze the financial risk management challenges faced by DT Company in the M&A process and endeavors to propose feasible solutions. First, the introduction presents the research background and significance, summarizes the current state of domestic and international research, and explains the research content, methodology, and innovations of this study. Second, it introduces the relevant concepts and classifications of M&A and financial risks, along with the theoretical foundations of the research. Third, the thesis outlines DT Company’s basic profile, presents the current states of DT Company’s M&A business and M&A management. Subsequently, it introduces the basic situation of YBC Company and the financial risk management process during the M&A transaction, at the same time, analyzes the problems existing in DT Company’s financial risk management process. Finally, based on a problem-oriented approach, the thesis offers practical recommendations tailored to DT Company’s circumstances, with the aim of serving as a reference for improving financial risk management in its future M&A activities. | |
