中文摘要：	近年来，公司治理问题越来越受到重视，相关的理论研究与实践结合得也越来越紧密。影响公司治理的因素有很多，其中股权结构是其中之一。股权及其内部结构的配置是公司治理安排的决定因素，它决定了公司的控制权掌握在谁手中，而不同的主体根据自身利益所采取的不同行为将对公司治理产生根本的影响，使公司会有不同的绩效水平。不同的公司采取不同的股权结构，故在众多的公司中存在着很多种股权结构。在诸多的股权结构中，股权对半是一种特殊的股权结构。正如任何事物都具有两面性一样，股权对半的股权结构对于公司而言具有一定的优势，但也存在一定的弊端。 基于这样的背景，本文通过梳理股权结构与公司治理方面的相关文献，对天津港实华原油码头有限公司的股权对半下的公司治理问题开展研究。本文介绍了实华公司实际情况，对公司的公司治理进行了分析。通过分析，提出公司目前存在的若干公司治理问题：对半机制下的对抗性相互制衡问题、对半机制下的决策问题、对半机制下的战略管理问题、对半机制下的高管团结问题、对半机制下的董事会治理问题。在对上述五个问题进行分析论述的基础上，本文提出了具体的完善建议。希望能通过这些建议为公司解决实际的治理问题，也希望实华公司在未来的发展中逐步的做大、做强、做活。
英文摘要：	The problem concerning Corporate Governance has been attached more and more importance recently and the relevant theory and practice have been combined more and more tightly. There are many factors influencing the Corporate Governance, one of which is share structure. Share structure is one of the determinant factors of Corporate Governance and it determines who will control the company. The different party will take different measures according to their own interest so as to influence the Corporate Governance and the company performance. The share structure of different companies is different so that there are many different share structures. The half-half share structure is very special. Just as the coin has two sides, this special share structure has its own advantages and disadvantages. Based on such background, this paper researches into the problems of Corporate Governance concerning half-half share structure of Tianjin Port Shihua Crude Oil Duck Limited Compnay through teasing the relevant papers in the light of the share structure and Corporate Governance. This paper introduces something about Shihua Compnay and analyzes its problems of Corporate Governance: adverse balance of half-half share structure, decision-making of half-half share structure, strategic management of half-half share structure, solidarity of senior managers of half-half share structure and Corporate Governance of Directors of Board half-half share structure. Based on the analysis of the five problems, this paper puts forward the relevant suggestion.
