| 中文摘要： | 新建投资与并购投资是实现企业成长的两种主要方式，两种方式特点各异，且具有相互替代性。投资方式选择的适宜与否直接影响着企业投资效益的实现。如何在这两种方式之间进行抉择，哪些因素是影响投资方式选择的决定性因素，成为了一个实践与理论中的难点问题。以往的学者做出了一些有益的探索，其理论成果主要集中在对外直接投资领域中，对于投资方式选择的因素分析涉及的比较少。 本文在以往研究成果的基础上，以新建投资与并购投资的概念界定和特点比较作为出发点，力图运用资源基础理论、生命周期理论、并购动机理论等多种理论对新建投资与并购投资进行具体分析，试图分别从产业层面以及企业层面提炼出影响直接投资方式选择的决定性因素。在理论分析的基础上，依据已经分析得出的影响投资方式选择的决定性因素，对于阳煤集团发展煤化工产业的投资方式分别从产业层面和企业层面进行分析，并对阳煤集团通过新建与并购方式而建立的两家煤化工企业的经营情况进行了具体的剖析。在文章的结尾，对全文进行了概括式的总结。 | |
| 英文摘要： | New construction and M&A are the two main modes of enterprise expansion ,the two modes possess different characteristics and are complementary to each other. The appropriateness of investment choices whether or not have a direct impact on the business benefits of enterprise expansion. How to choose between the two modes, which factors are the decisive factors affecting the investment choices, are difficult not only in practice, but also in theoretic study. Scholars in the past have made some useful exploration , and theoretical results mainly in the field of foreign direct investment, for factor analysis of investment selection involves relatively small. Based on these achievements, this article clarifies the concepts of New construction and M&A, compares their characteristics, and analysis the New construction and M&A using the resource-based theory, life-cycle theory, then tries to find out the determinant in selection of different entry from Industry level and Enterprise level. Based on the theoretical analysis, relying on the decisive factors affecting the choice of the two modes , analysis the modes of Yangquan coal group developing the Coal Chemical Industry from the industrial level and the enterprise level ,and analysis the two newly established coal chemical enterprises through the New construction and M&A by Yangquan coal group.
