中文摘要:企业并购活动已经有大约100多年的历史,进入 20 世纪 90 年代以来,全球掀起又一轮企业并购浪潮,即第五次全球并购浪潮,并购规模和数量一直呈现不断上升趋势。在本次并购浪潮中,企业并购数量之多、规模之大、金额之高、范围之广均远远超过了前几次并购浪潮。而且,一个很重要的特点就是跨国并购频繁。大规模的跨国并购使各个大型企业能利用被并购企业的各种有利条件和优势,绕开海外市场各种壁垒,以较低的价格进入和扩展海外市场。并且,能够很快地获得规模经济效应,但是,据经验数据表明,通过兼并收购而设立的子公司,失败率大大高于创建子公司的失败率。美国麦肯锡咨询公司、默沙管理咨询公司以及其它一些研究结果表明,忽视并购双方企业文化的差异、没有妥善解决文化冲突、未能进行有效的企业文化整合是跨国并购失败的重要原因之一。 本文正是基于这个背景进行研究的。本研究的基本研究思路是:首先,通过文献梳理的研究方法,基于经济学、管理学现有理论,对并购及跨文化管理的相关理论进行了回顾,在总结现有的研究成果的基础上,首先分析了跨国并购后文化差异的来源,主要从国家文化和组织文化两个角度分析,在此基础上总结出跨国并购后企业的文化特点。然后分析了跨国并购后进行文化整合的必要性,主要分析了跨国并购的文化冲突的产生及对跨国并购的影响。 最后,探讨了如何对跨国并购进行企业文化整合,包括文化整合的内涵,内容及原则,整合模式及其选择,以及整合程序。本研究认为,跨国并购的企业文化整合,不仅仅要考虑企业文化的因素,而且要充分考虑国家文化的因素,而且,并不存在普遍适用的企业文化整合模式,本文针对跨国并购,对如何进行企业文化整合进行了系统的分析和研究,期望对跨国并购进行企业文化整合的相关从业者具有一定的指导和借鉴意义。  
英文摘要:Merger & Acquisition (M&A) has a history of about 100 years, and there have been five intensive periods of M&A activity. The 1990s saw the fifth M&A frenzy, which was characterized by unprecedented scale and number and cross-border M&A is more frequent than before. Enterprises always make use of all kinds advantage to expand foreign market by means of Large scale cross-border M&A.. But the surge of cross-border M&A activities of the present world have seen a high rate of failure. American McKinsey Consulting Firm, Morsa Managing and Consulting Company as well as other research results indicates that one of the most important reasons for the failure of acquisition is the ignorance of the cultural difference between merged enterprises, the failure of properly resolving cultural clashes and the lack of efficient cultural integration after Cross-border M&A The paper starts based on this background. First,the research begins with review of theories about M&A and culture based on existing economic and management science theory.The follow analysis include: the reason of culture differences;the character of culture afer Cross-border M&A;the necessity of culture integration after Cross-border M&A. This paper conducts a discussion about the core of culture integration after Cross-border M&A such as the content of integration, principle,mode, process and so on, and comes to a conclusion that omnipotent integration mode is inexistent. And in the end the paper draw to the conclusion about how to integrate the culture afer Cross-border M&A,and the conclusion plays a guidance role for Cross-border M&A practitioners to some extent.
