中文摘要：	对外直接投资是跨国公司开拓国际市场、扩大其内部化市场的基本手段和主要方式，是一种以取得或拥有国外企业的经营控制权为特征，以获取利润或其它利益为目的的投资。改革开放以来，中国逐渐成为世界上吸引外资最多的发展中国家，大量的在华国际合资企业得以建立，跨国公司对中国的直接投资在中国经济成长中发挥了巨大作用，并成为推动中国经济增长的重要力量。 进入二十世纪九十年代，伴随着中国改革开放的深入，在华国际合资企业的股权结构出现了显著的变化，一方面，跨国公司在合资企业中所占股份逐渐上升，或者把合资企业转化为其全资子公司；另一方面亦有部分跨国公司退出合资企业，合资企业交由中方企业接管，此外还有部分合资企业终结或股东出现了变更。在华国际合资企业的结构为什么会出现上述变化，合资企业在跨国经营的过程中在扮演一种什么样的角色，国际合资企业是一种稳定的企业结构，还是一种过渡的状态？ 在本文中，我们将紧紧围绕上述问题，尝试对在华国际合资企业的结构不稳定性问题进行分析。本文主体共分四部分，第一部分，对与合资企业结构不稳定性相关的理论进行回顾，并对其进行相关评述。第二部分，通过对在华国际合资企业结构变化的考察，指出在华国际合资企业结构不稳定性的几种不同形态。第三部分，提出国际合资企业结构不稳定性的分析框架，并利用上述框架，分别从外部环境、竞价实力、企业绩效、文化冲突四个方面对在华国际合资企业结构的不稳定性给予解释。第四部分，指出在华国际合资结构不稳定性的影响，并给出相关的政策建议。
英文摘要：	Foreign direct investment (FDI) is a fundamental and major means for a multinational corporation (MNC) to expand its international market and exploit its internalized market; it is characterized as an investment that endows the investor with managerial control over other interests. Since the implementation of reform and open policy, China has attracted most foreign investment among developing countries; a lot of international joint ventures have been founded in China. MNCs’ investment has played a very important part in Chinese economic development, and has become an important force that pushes the economic growth. From the 1990s, with the reform and the open policy goes deeper, equity structures of international joint ventures (IJVs) in China have changed a lot. On the one hand, MNCs’ shares in joint ventures keep on increasing, more seriously they even transferred some joint ventures into their wholly-owned subsidiaries. On the other hand, some multinational corporations withdrew from joint ventures, which were handed over to Chinese enterprises. Besides, there were also some endings of joint ventures and changes in the equity structure. Why did the structure of international joint ventures change in China; which players do they act in the process of multinational operation; is it a stable or a transitional structure? This paper focuses on questions above, and tries to analyses reasons for the structural instability of international joint ventures in China. The thesis consists of four parts. Part I will have a theoretical background review of research on structural instability of joint ventures. With an investigation of structure changes among joint ventures, part two will point out different forms of structural instabilities. Part three will advance an analyses model, and then with the model, give the cause of instability just form external environment, bargain power, enterprise performance and culture conflict. Part four will put forward influences of structural instability and provide some related suggestions.
