中文摘要: 2020年新冠肺炎疫情爆发以来,全球产业结构不断调整、经济增速也逐渐放缓,世纪疫情的严重冲击加上“需求收缩、供给冲击、预期转弱”的三重经济压力,导致许多企业陷入财务困境甚至面临破产清算。本文聚焦于ZZ基金销售公司面临经营困境问题时,通过管理学工具分析,制定出解决公司经营困境问题的重组战略,并通过对重组路径的分析评价,选择匹配公司经营现状的重组战略路径,希望能为深陷经营困境但仍具有资产价值的企业带来一线生机。 本文通过被重组企业ZZ基金销售公司的视角,提出公司在经营过程中面临的问题,并通过PEST及SWOT工具分析并提出公司重组战略。ZZ基金销售公司,持有中国证监会核准的证券期货业务许可证,属于财富管理行业。公司自成立以来一直合规展业,经营良好,公司凭借行业深耕经验、优秀的团队及客户资源、资产配置能力,优质的服务理念,得到一批高净值客户的青睐。但2023年下半年,ZZ基金销售公司的股东方ZZ集团面临比较严重的舆情风险,虽然ZZ基金销售公司一直以来独立运营,但因为股东方ZZ集团的舆情风险给公司的正常运营带来了严重的负面影响。公司有经济整体向好,居民收入不断提升、金融市场法律法规不断完善、金融科技强赋能财富管理发展等外部机会,公司也具备有着非常优秀的团队、优质的上游管理人朋友圈、高黏性的高净值客户群体等内部优势,但股东方的舆情风险可能为公司能否持续经营带来严重风险,进而对客户、股东、员工造成严重损失。 秉承对社会、客户、员工、股东负责的理念,本文通过结合PEST、SWOT等分析工具对ZZ销售公司内外部环境进行分析,制定重组战略路径,并通过分析评价得出匹配公司现状的通过业务资产出售形式公司重组方案;通过对重组必要性及方案可行性进行充分论证,结合公司实际情况提出业务资产重组方案实施不同阶段的主要工作,并对可能面临的风险进行评估,提出一系列保障措施,保障业务资产重组顺利进行。 本文总结研究的主要成果,并对公司重组方案进行了创新性的设计满足各利益相关方的需求,也对战略实施的效果进行了分析论证,同时也反思了研究过程中的局限性,希望对未来其他企业面临经营困境提供新的思路及研究方向。 
英文摘要:Since the outbreak of the COVID-19 pandemic in 2020, the global industrial structure has been continuously adjusted, and economic growth has gradually slowed down. The severe impact of the pandemic, coupled with the triple economic pressures of "contracting demand, supply shocks, and weakening expectations," has led many enterprises into financial difficulties and even facing bankruptcy liquidation. This thesis focuses on ZZ Sales Company when facing operational difficulties, using management tools for analysis, to formulate a reorganization strategy that can solve the company's operational problems. By analyzing and evaluating the reorganization path, a strategy is selected that matches the company's current operational status, hoping to bring a glimmer of hope to enterprises that are still valuable but in operational difficulties. From the perspective of the reorganized enterprise, ZZ Fund Sales Company, this thesis proposes the problems faced by the company in its operation and uses PEST and SWOT tools to analyze and propose a company reorganization strategy. ZZ Fund Sales Company holds a securities and futures business license approved by the China Securities Regulatory Commission and belongs to the wealth management industry. Since its establishment, the company has been operating in compliance and has been performing well. The company has won the favor of a group of high-net-worth customers with its industry experience, excellent team and customer resources, asset allocation capabilities, and quality service philosophy. However, in the second half of 2023, ZZ Fund Sales Company's parent company, ZZ Group, faced serious reputation risks. Although ZZ Fund Sales Company has always operated independently, the reputation risks of the parent company have brought serious negative impacts on the company's normal operations. The company has external opportunities such as the overall economy moving in a positive direction, the continuous increase in people's income, the continuous improvement of financial market laws and regulations, and the strong empowerment of financial technology to the development of wealth management. The company also has internal advantages such as an excellent team, a high-quality upstream manager circle of friends, and a highly sticky group of high-net-worth customers. However, the reputation risks of the parent company may bring serious risks to the company's sustainable operation, thereby causing serious losses to customers, shareholders, and employees. Adhering to the concept of being responsible to society, customers, employees, and shareholders, this thesis uses analysis tools such as PEST and SWOT to analyze the internal and external environment of ZZ Sales Company, formulate a reorganization strategy path, and through analysis and evaluation, finally comes up with a reorganization plan that matches the company's current situation through the sale of business assets. The necessity and feasibility of the reorganization plan are fully demonstrated, and a business asset reorganization plan is proposed for different stages of implementation, and possible risks are assessed, and a series of safeguard measures are proposed to ensure the smooth progress of the business asset reorganization. This thesis summarizes the main achievements of the research and has innovatively designed the company's reorganization plan to meet the needs of all stakeholders. It also analyzes and demonstrates the effectiveness of the strategy implementation and reflects on the limitations of the research process, hoping to provide new ideas and research directions for other enterprises facing operational difficulties in the future.
