中文摘要:随着数智时代的飞速发展,技术迭代速度日益加快,为构建可持续性竞争优势、培育动态发展能力,并购已成为企业突破成长压力、快速获取外部稀缺资源、提高市场地位的有效手段和途径。网络安全行业作为中国战略性新兴产业的重要子行业之一,是社会发展的基础性、战略性科技领域。中国网络安全企业小而散,同质化竞争严重,自主创新能力不足,对比国际网络安全大企业的发展路径,通过实施并购获取外部创新技术资源是做大做强的必要手段之一。 本文通过梳理AD网络安全公司发展过程中以技术优势互补为导向的两次并购事件,剖析技术并购给AD网络安全公司绩效带来的影响,提炼其成功经验并总结普适性价值,针对AD公司在并购实践过程中存在的问题与不足,提出针对性优化建议,来为我国网络安全企业进行技术获取导向的并购活动提供参考。首先,综述资源能力理论、并购理论及当前国内外有关技术并购的研究成果,明确了本文讨论的技术并购类型为技术优势互补型并购活动,不包括技术跨部型并购。其次,介绍AD网络安全公司的并购成长历程与业务演变,量化分析两次技术并购带来的总体绩效影响。第三,提炼总结两次技术并购事件在把握外部发展机遇、发挥内部资源能力优势、选择目标企业、推进并购整合管理过程中的成功经验,以提供参考价值。再者,通过内部观察、会计数据等方式分析AD网络安全公司技术并购中存在的问题。最后,针对AD网络安全公司在并购前目标筛选、并购支付手段、技术研发整合、文化融合与人力资源整合等方面存在的问题,提出针对性优化建议。 研究发现AD网络安全公司应该对齐战略目标,建立科学量化的目标企业筛选指标体系,提升并购决策的科学性与合理性,具有实践意义;统筹合理使用并购支付工具,提升财务绩效表现;应警惕并购依赖,加快知识转移再创新,提高研发创新效率;注重强化人力资源与文化融合,创造良好的软硬件环境,以维护核心团队人员稳定。 
英文摘要:With the rapid development of the digital age and the increasing speed of technological iteration, M&A have become an effective means for enterprises to break through growth pressures, quickly acquire scarce external resources, and improve market position in order to build sustainable competitive advantages and cultivate dynamic development capabilities. As one of the important sub-industries in China, the network security industry is a basic and strategic technological field for social development. Chinese security companies are small and scattered, with serious homogenization competition and insufficient independent innovation capabilities. Compared with the development path of international security giants, acquiring external innovative technology resources through M&A is one of the necessary means to become bigger and stronger. This research reviews two M&A events guided by technical complementation in the development process of AD Security Company, analyzes the impact of technology M&A on the performance of AD Security Company, extracts and summarizes its successful experience, and discovers the problems and shortcomings in the M&A practice. Targeted optimization suggestions are proposed to provide reference for technology acquisition-oriented M&A activities of security enterprises in China. Firstly, an overview of the theories of enterprise resource capability, mergers and acquisitions, and current research on technology M&A both domestically and internationally is provided. It is clarified that the type of technology M&A discussed is technical complementation. Secondly, introduce the merger and acquisition growth process and business evolution of AD Security Company, and quantitatively analyze the overall M&A performance brought by the two events. Thirdly, extract and summarize the successful experiences of two events in seizing external development opportunities, leveraging internal resource capabilities, selecting target enterprises, and promoting merger and acquisition integration management, in order to provide reference value. Furthermore, analyze the problems in the technology M&A of AD Security Company through internal observation and accounting data analysis. Finally, targeted optimization suggestions are proposed for AD Security Company in areas such as target selection, payment methods for mergers and acquisitions, technology R&D integration, cultural and human resource integration. Research has found that AD Security Company should align their strategic goals,establish a scientifically quantified target enterprise screening index system, and enhance the rationality of M&A decisions, which has practical significance; Coordinate and make reasonable use of M&A payment tools to improve financial performance ;We should be alert to the dependence on M&A, accelerate knowledge transfer and innovation, and improve the efficiency of research and development innovation; Pay attention to strengthening the integration of human resources and cultural integration, creating a good software and hardware environment to maintain the stability of core team members.
