中文摘要:合资融资平台公司是当今经济中的一种重要的公司组织方式。与一般的公司制纯粹资合的组成有所不同,其具有股东来源多样、角色不同的特点。此类公司股东的角色的多样性体现在董事会中,表现为不同一般公司的董事会治理机制。股东中代表地方政府的地方国企、央企、运营方、出资方等角色,这些不同股东在董事会运作中体现为对公司决策权的争夺。同时此类公司一般为二、三级以下层级的公司,投入的治理资源较少,这造成了此类公司不同于规范的一级公司的治理特征。这些特征形成了此类公司以董事会为中心的公司决策机制特有的现象,也造成了很多决策方面的问题。本文研究的就是此类公司董事会治理的优化问题。 JQ公司是本文分析的对象,它是一类典型的合资融资平台公司,是近些年来轨道交通建设行业常见的运作模式的代表。本文通过对公司治理理论的梳理,对JQ公司相关治理机制的分析,首先对案例公司的成立背景、股东结构等相关治理机制做了介绍,之后对案例公司运营以来的相关董事会治理机制做了梳理,从董事会的属性和角色开始,结合决策议案的情况做出分析。之后又分析了董事会的决策机制,从对案例公司董事会的属性和角色及决策机制的分析,总结归纳了该公司董事会决策机制各个环节中存在的问题。在分析了董事会决策现状和决策机制的不足后,根据运营的实践中出现的问题,主要试图解决JQ公司董事会不能代表独立法人的问题,董事会决策机制效率不高及董事会决策机制科学性有待加强的问题。之后本文提出了以分层治理理念为核心的一套董事会治理机制的优化方案。方案主要是结合案例公司的实践特征,根据此类公司治理的特点,制定适合JQ公司的董事会治理的机制,增加治理资源,提升董事的专业性,优化对议案决策的效率和科学性的提升方案。 本文的研究,主要是根据公司治理的理论,通过多年运营实践JQ公司的案例,分析总结董事会的相关决策机制出现的问题,对相同的具有多样性股东类型、处在二三级层级的公司董事治理机制,提出了部分优化建议方案。  
英文摘要:Joint venture financing platform company is an important way of company organization in today's economy. Different from the general corporate system, which is composed of pure equity, it has the characteristics of diverse sources and different roles of shareholders. The diversity of the role of shareholders in such companies is reflected in the board of directors, which is different from the decision-making mechanism of ordinary companies. Among the shareholders, local state-owned enterprises, central enterprises, operators, investors and other roles on behalf of local governments, these different shareholders are reflected in the operation of the board of directors for the company's decision-making power. At the same time, such companies are generally companies at the second and third levels and invest less governance resources, which results in the governance characteristics of such companies that are different from those of standard first-level companies. These characteristics form the unique phenomenon of the corporate decision-making mechanism centered on the board of directors of such companies, and also cause a lot of relatively decision-making problems. This paper studies the optimization of the decision-making mechanism of the board of directors of such companies. JQ Company is the object of analysis in this paper. It is a typical joint venture financing platform company and a representative of the common operation mode in rail transit construction industry in recent years. By combing the theories of corporate governance and analyzing the relevant governance mechanisms of JQ Company, this paper first introduces the relevant governance mechanisms such as the establishment background and shareholder structure of the case company, and then combs the relevant decision-making mechanisms of the board of directors since the operation of the case company, starting from the attributes and roles of the board of directors, and analyzes the situation of decision-making proposals. After that, it analyzes the decision-making mechanism of the board of directors, and summarizes the problems existing in every link of the decision-making mechanism of the board of directors of the company from the analysis of the attributes and roles of the board of directors and the decision-making mechanism. After analyzing the current situation of decision-making of the board of directors and the deficiencies of decision-making mechanism, according to the problems arising in the operation practice, this paper mainly tries to solve the problems that the board of directors of JQ Company cannot represent an independent legal person, the decision-making mechanism of the board of directors is not efficient and the decision-making mechanism of the board of directors needs to be strengthened. Then this paper puts forward a set of board decision-making mechanism optimization scheme based on the hierarchical governance concept. The plan mainly combines the practical characteristics of the case company and the characteristics of such corporate governance to develop a decision-making mechanism suitable for the board of directors of JQ company, increase governance resources, improve the professionalism of directors, and optimize the efficiency and scientific improvement plan for resolution decision-making. Based on the theory of corporate governance and the case of JQ company in operation practice for many years, this paper analyzes and summarizes the problems in the relevant decision-making mechanism of the board of directors, and puts forward some optimization proposals for the decision-making mechanism of the board of directors of the same company with diverse types of shareholders and at the second and third levels.
