中文摘要:金城银行作为的“北四行”之一,是近代中国金融业的支柱,当时的重要商业银行之一。本文选取了1917年至1927年间天津金城银行作为研究对象,通过案例研究、文献分析及比较研究的方式,深入剖析了金城银行的公司治理结构对劳资关系产生的影响。通过细致地考察金城银行的历史背景与发展脉络,分析其成立时的政治、金融环境,从金城银行的股权结构、董事会成员的更迭与改组、总经理处、两权分离情况与薪给制度探讨其银行治理结构,认为金城银行采用绩效导向的治理结构,并介绍当时金城员工所进行的工人运动与北洋政府的调节。本文不仅详细描述了其治理结构与劳资关系,更通过本行员工与其他行业工人及本行管理层薪酬的对比,从人事管理制度、股东及董事会的政治关联以及近代金融业稀缺性这三个角度,揭示了在特定历史背景下,公司治理结构与劳资关系之间复杂的相互作用。 研究发现,金城银行的治理结构具有独特的时代色彩,与北洋军阀之间一直处于控制与反控制的状态,虽然绩效导向型的治理结构无法摆脱特定背景下的剥削性质,但并未对本行的劳资关系产生显著的负面影响,人事管理制度的设计被当时其他银行广泛学习,对劳资关系的处理是旧中国的典范,在公司治理与劳资关系中积累的经验对现实的商业银行发展仍有重要的当代意义。 基于研究结论,本文提出对近代金融机构的研究结果在现实复杂的金融环境中所具有的借鉴意义:第一,提升商业银行的独立性,辩证看待与政府的关系,政府避免过多的干预银行的经营与发展,确保银行能够在市场机制下自主决策。第二,政府在劳资关系的调节中要发挥积极的作用,通过立法等手段构建和谐稳定的劳资关系,为金融业持续发展创造良好环境。第三,银行要注重提升员工的薪酬待遇,努力将自身发展与社会稳定发展紧密联系,才能提升自身竞争力,实现长远发展。 本文可能的创新之处在于,第一,将公司治理问题嵌入到民国初期复杂多变的环境中,尝试着结合社会学和政治学的分析框架,对金融机构治理如何影响劳资关系展开探索型研究,拓展了公司治理的研究范围。第二,从政府官员变更、股东结构变化和组织内部管理模式三者互动的视角,剖析金融机构治理对社会运动的影响,为深刻认识金融机构与社会经济发展的关系提供了新的视角。  
英文摘要:As one of the "four northern Banks", the King cheng Bank is the pillar of modern Chinese financial industry and one of the important commercial banks in old China. This paper selects Tianjin the King cheng Bank from 1917 to 1927 as the research object, through case study, literature analysis and comparative research, deeply analyzes the influence of the King cheng Bank's corporate governance structure on labor relations. By carefully examining the historical background and development context of the King cheng Bank, analyzing its political and financial environment at the time of its establishment, and discussing its bank governance structure from the perspectives of its equity structure, the change and reorganization of board members, the general manager's office, the separation of powers and the salary system, it is concluded that the King cheng Bank adopts a performance-oriented governance structure. It also introduces the workers' movement of the King cheng employees and the adjustment of the Northern Warlord government at that time. This paper not only describes its governance structure and labor-management relations in detail, but also reveals the complex interaction between corporate governance structure and labor-management relations under a specific historical background from three perspectives: personnel management system, the political connection between shareholders and the board of directors, and the scarcity of modern financial industry by comparing the compensation of workers and the management of the bank with that of other industries. The study found that the governance structure of the King cheng Bank has a unique color of The Times, and it has always been in a state of control and anti-control with the Northern Warlords. Although the performance-oriented governance structure could not get rid of the exploitative nature in a specific background, it did not have a significant negative impact on the industrial relations of the bank. The design of personnel management system was widely learned by other banks at that time. The management of labor-capital relations is the model of old China, and the experience accumulated in corporate governance and labor-capital relations still has important contemporary significance for the development of real commercial banks. Based on the research conclusions, this paper puts forward the reference significance of the research results of modern financial institutions in the realistic complex financial environment: First, enhance the independence of commercial banks, dialectically view the relationship with the government, avoid excessive government intervention in the operation and development of banks, and ensure that banks can make independent decisions under the market mechanism. Second, the government should play an active role in the regulation of labor-capital relations, establish harmonious and stable labor-capital relations through legislation and other means, and create a good environment for the sustainable development of the financial industry. Third, banks should pay attention to improving the remuneration of employees, and strive to closely link their own development with social stability and development, so as to enhance their competitiveness and achieve long-term development. The possible innovations of this paper are as follows: First, by embedding the issue of corporate governance into the complex and changeable environment of the early Republic of China, this paper attempts to conduct exploratory research on how the governance of financial institutions affects labor-capital relations by combining the analytical framework of sociology and political science, and expands the research scope of corporate governance. Second, from the perspective of the interaction between the change of government officials, the change of shareholder structure and the internal management mode of the organization, the influence of financial institution governance on the social movement is analyzed, which provides a new perspective for deeply understanding the relationship between financial institutions and social and economic development.
