中文摘要：	我国由于从计划经济逐步转向市场经济，市场经济还不够发达，长期以来人际关系、人情观念代替了法制，在工程建设行业也没有树立合同的权威性。而在市场经济的环境里，一个企业的经营成功与否和合同及合同管理有着密切关系，必须十分重视合同及合同管理。建立以合同管理为核心的项目管理体系，是提高工程项目管理水平的必由之路。 在项目管理中，合同管理是一个较新的管理职能。在国外，从二十世纪七十年代初开始，随着工程项目管理理论研究和实际经验的积累，人们越来越重视对合同管理的研究。在发达国家，八十年代前人们较多地从法律方面研究合同；在八十年代，人们较多地研究合同事务管理；从八十年代中期以后，人们开始更多地从项目管理的角度研究合同管理问题。近十几年来，合同管理己成为工程项目管理的一个重要的分支领域和研究的热点。 本文首先阐述了海洋石油工程项目合同管理的研究背景及意义，并对本文研究的主要方法及内容进行介绍。然后对工程项目合同管理的相关理论进行回顾，介绍了现代项目管理理论、现代项目管理合同管理理论，以及两者间的关系，为后文对海洋石油工程股份有限公司合同管理研究奠定了理论基础。在理论研究的基础上，本文引出海洋石油工程股份有限公司合同管理的案例，首先对海洋石油工程股份有限公司的背景及全过程合同管理进行了介绍，然后对该公司合同管理存在的问题进行了阐述，并引入我国项目导向型企业的独特性分析，接着提出了海油工程合同管理的解决方案和思路，最后以海洋石油工程股份有限公司渤中19－4工程项目合同管理为例进行分析，旨在提高海油工程公司合同管理的水平，对公司的合同管理工作起到指导作用，同时对整个工程项目管理的顺利进行也是一个重要保障。
英文摘要：	Since china gradually transfer into the market economy from the plan economy, the market economy isn’t still very developed, legal system was replaced by human relationship for long time, the authority of the Contract hasn’t been established in the field of construction project, but the success of enterprise has close relationship with contract and contract management in the market economy’s circumstance, contract and contract managemen shall be paid more attention. The only way to improve the level of project management is to establish the project contract management system. Contract management is relatively new function of project management. With the accumulation of project management’s theory study and practical experience, there is growing emphasis on contract management since the 1970s in foreign country. In developed countries, people do more research on contract from the legal aspect before the 1980s; people mainly study contract administration in the 1980s; people start studying the issue of contract managemen from project management’s perspective since the 1980s. In the past more than ten years, contract management has became an important branch of project management and the pop area. First, the thesis explains the contract management’s research background and significance of offshore oil engineering project, introduces the main research method and content, then studys the theory of contract management in both china and abroad, including the theory of modern project management, the contract management’s theory of modern project management and the relationship between them. Based on the theory research, the thesis simply presents the background of COOEC, and comprehensively summarizes the contract management’s entire process of COOEC, then sums up the existing problems of COOEC. After understanding the project oriented enterprise’s uniqueness of china, the thesis puts forward the solution and corresponding idea, finally analyses the BZ19-4 project’s contract management of COOEC, aims to improve the contract management’s level and provide the guidance for COOEC.
