中文摘要: 随着我国市场经济体制和产业结构的不断优化,材料行业的竞争日趋激烈, 国际和国内环境复杂性与不确定性不断提高和增加,也为跨国并购后的企业管 理工作提出了更加迫切的要求。如何打破母国与东道国之间的文化冲突,制定企 业的发展战略,优化组织建设并提高企业的运行效能及响应速度,更是迫在眉睫。 跨国并购的成功很大程度上是有形资产与优势的互补过程,重要的地方在 于并购后的企业如何增强核心竞争力从而进行有效的整合,而在企业并购后的 整合过程中,企业文化的整合又是成败的关键,并购的深层次内涵是两国文化的 交汇与融合。本文主要以 AE 公司在华并购后的文化整合为研究对象,先是针对 企业并购的相关理论的概述,再是对企业文化理论的介绍,思考 AE 公司在华跨 国并购后,所面对外部宏观环境的压力及内部环境的严峻挑战。在这个背景下, 本文分析及归纳了跨国并购后 AE 公司的现状和所存在的问题,通过问卷调查及 内部访谈的形式分析企业并购后内外关键因素及其影响,指出了企业并购后文 化整合必要性。并提出促进式的文化整合模式,其中战略的制定,组织的优化, 企业文化的重塑是至关重要的三要素,建设性地针对不同要素提出了具体实施 的方法与策略。以助于实现 AE 在华公司目标的高效达成。 任何的整合过程都可能存在诸多的风险问题,最后要确保 AE 公司并购后文 化整合新模式的有效实施,需要在人力资源、管理制度和经营制度进行保障实施。 本文是对跨国并购的文化整合的研究,希望可以有效的推动跨国并购后的文化 协同,从而提升企业的总体价值。 
英文摘要: With the continuous optimization of China's market economic system and industrial structure, the competition in the chemical industry is becoming increasingly fierce, and the complexity and uncertainty of the international and domestic environment are constantly increasing and increasing, which also puts forward more urgent requirements for the management of enterprises after cross-border mergers and acquisitions. How to break the cultural conflict between the home country and the host country, formulate the development strategy of the enterprise, optimize the organization construction and improve the operation efficiency and response speed of the enterprise is more urgent. To a large extent, the success of cross-border mergers and acquisitions is the complementary process of tangible assets and advantages. The important point is how to enhance the core competitiveness of enterprises after mergers and acquisitions so as to carry out effective integration. In the process of integration after mergers and acquisitions, the integration of corporate culture is the key to success or failure. The deep connotation of merger and acquisition is the convergence and integration of the two cultures. This thesis mainly focuses on the cultural integration of AE Company after its merger and acquisition in China. It first summarizes the relevant theories of corporate merger and acquisition, and then introduces the theories of corporate culture, thinking about the pressure of external macro environment and severe challenges of internal environment that AE Company faces after its cross-border merger and acquisition in China. In this context, this thesis analyzes and summarizes the current situation and existing problems of AE companies after cross-border mergers and acquisitions, analyzes the key internal and external factors and their influences after mergers and acquisitions through questionnaires and internal interviews, and points out the necessity of cultural integration after mergers and acquisitions. This thesis also puts forward an absorbing cultural integration model, in which the formulation of strategy, the optimization of organization and the reshaping of corporate culture are three crucial elements, and constructively puts forward specific implementation methods and strategies for different elements. To help achieve AE's goals in China efficiently. There may be many risks in any integration process. Finally, to ensure the effective implementation of the new model of cultural integration after the acquisition of AE Company, it is necessary to carry out a double-layer optimization mechanism in human resources and management system. This is a study on the cultural integration of crossborder mergers and acquisitions, hoping to effectively promote the cultural synergy after cross-border mergers and acquisitions, so as to enhance the overall value of enterprises.
