中文摘要: 摘要 随着对地方平台公司债务风险的关注,地方平台公司的市场化转型成为当下热点。十八届三中全会后,关于国有资本投资公司、运营公司的研究也是普遍关注的话题。在当前有效防范化解地方债务风险的背景下,地方平台公司的市场化转型势在必行。转型为国有资本投资、运营公司,是地方平台公司市场化转型的一条重要路径。 公司治理是企业顶层设计中不可缺少的组成部分,加强和完善国有企业公司治理机制,是保障企业独立市场主体地位、激活企业微观主体活力的必要条件。通过健全完善地方平台公司治理机制,有助于实现政企分开、政资分开,提升企业决策能力、决策效率,增强企业竞争力,进而促进企业的长远发展。 本文选取D市国有企业A公司为案例,A公司在全国具有较大影响力,2004年组建以来,从最初履行债务重组、土地重组和资产重组职能的地方平台公司逐步市场化转型为国有资本运营公司,公司治理机制不断健全完善,被评为全国国有企业“公司治理示范企业”。当前,A公司被赋予了新的历史使命,面临升级为国有资本投资运营公司的再次转型,对完善公司治理机制也提出了新的要求。本文基于现有公司治理的相关研究,以委托代理理论、利益相关者理论和激励理论为基础,坚持问题导向,结合工作实践,采用了文献查阅法、案例研讨法、实地调研法等方法,对A公司治理机制,从党组织治理、董事会治理、监事会治理、经理层治理分层分类逐一进行了详细深入的研究和分析,查找不足和差距,力争从整体上把握A公司治理全貌,结合D市和A公司实际情况,系统的提出具有较强建设性意义和可操作、可落地的优化建议。最后本文还提出从政策、战略、组织管控、数字化和文化上予以保障,共同推动A公司治理机制优化顺利进行。 本文从公司治理的视角出发,研究与地方平台公司转型、国有资本投资运营公司深化改革紧密结合,也对全国此类公司健全完善公司治理机制理论研究与实践运用具有借鉴意义。本文图4幅,表8个,参考文献67篇。 
英文摘要: Abstract With the attention to the debt risk of local platform companies, the market-oriented transformation of local platform companies has become a hot spot. After the Third Plenary Session of the 18th Communist Party of China Central Committee, the research on state-owned capital investment and operating companies is also a topic of general concern. In the current context of effectively preventing and resolving local debt risks, the market-oriented transformation of local platform companies is imperative. Transforming into a state-owned capital investment and operation company is an important path for the market-oriented transformation of local platform companies. Corporate governance is an important part of the top-level design of enterprises. Strengthening and improving the corporate governance mechanism of state-owned enterprises is a necessary condition to ensure the independent market subject status of enterprises and activate the vitality of micro-subjects of enterprises. By improving the governance mechanism of local platform companies, it is helpful to realize the separation of government and enterprise, the separation of government and capital, improve the decision-making ability and decision-making efficiency of enterprises, enhance the competitiveness of enterprises, and promote the long-term development of enterprises. This paper selects D city state-owned enterprise A company as a case. Company A has great influence in the country. Since its establishment in 2004, it has gradually transformed from a local platform company that initially performed debt restructuring, land restructuring and asset restructuring functions to a state-owned capital operation company. The corporate governance mechanism has been continuously improved, and it has been cited as ' corporate governance demonstration enterprise 'in the nationalwide state-owned enterprises. At present, Company A has been given a new historical mission and is facing the re-transformation of upgrading to a state-owned capital investment and operation company, which also puts forward new requirements for improving the corporate governance mechanism. Based on the existing research on corporate governance, this paper is based on the principal-agent theory, stakeholder theory and incentive theory, adheres to the problem orientation, combines the work practice, adopts the literature review method, case study method, field research method and so on. The corporate governance mechanism of A company is studied and analyzed in detail and deeply from the hierarchical classification of party organization governance, board of directors governance, board of supervisors governance and manager governance one by one, to find out the deficiencies and gaps, and strive to grasp the overall picture of A company 's governance as a whole. Combined with the actual situation of D city and A company, the system puts forward some suggestions with strong constructive significance and operable and landing optimization.Finally, this paper also proposes to guarantee from policy, strategy, organizational control, digitization and culture, and jointly promote the optimization of A company 's governance mechanism. From the point of view of corporate governance, this paper will closely integrate with the transformation of local platform enterprises, deepen the reform of state-owned capital and management enterprises, and also has reference significance for the theoretical research and practical application of the sound and perfect corporate governance mechanism of such companies throughout the country.
