中文摘要: 近年来,完善现代企业制度、建立新时代中国特色的公司治理成为国家发展和企业实践关注的重点。随着全面深化改革挺进深水区,作为国民经济发展的重要推动体,中国企业迎来了新的要求。公司治理是现代企业制度的核心内容,对于优化企业资源配置、提升运作效率、明确战略目标进行科学决策以及促进企业价值最大化具有重要意义,因此推进公司治理能力的体系化、现代化是中国企业生存和发展的当务之急。 目前,学术界对公司治理与企业价值之间关系的研究已经较为充分,但多为实证研究,缺乏从实际案例企业出发进行探讨的质性研究。在扎根本土企业、讲好中国故事的背景下,本文使用扎根理论的质性研究方法,对案例企业比亚迪展开自下而上的分析研究,探讨其公司治理发挥价值创造的机理和路径,运用程序化扎根方法的三级编码提炼聚合构念,建立构念之间的逻辑关系,进而构建中国情境下公司治理进行价值创造的动态演进模型。 公司治理的选择和形成是企业自主选择和外部约束双重作用的结果,并且具有动态性,应随着企业战略定位的变化进行相应地调整。本文研究发现,当外部环境、内部资源、管理者认知等因素出现变化时,为了更好地应对市场机遇与挑战,企业会适时调整自身产品或业务的战略目标,此时原有的公司治理可能会与新的战略方向不适配,在此情境下,企业将通过调整股权结构和控制权、董事会和高管团队成员结构、与利益相关者的关系、激励和监督机制等公司治理要素,从内部和外部获取战略发展所需的资源与能力,实现公司治理与战略目标的动态适配,构建可持续竞争优势,进而发挥公司治理的价值创造功能。 本文以资源基础观和动态能力观为理论依据,基于“情境—行为—结果”的分析框架,“驱动因素—战略调整—公司治理动态适配—竞争优势—价值创造”的研究思路,以比亚迪为例,打通了公司治理发挥价值创造功能的逻辑路径,并提炼了二者之间的动态演进理论模型,为中国情境下公司治理的价值创造模式研究提供了新的理论机理解释,同时为中国企业在内外部环境与战略发生变化时如何选择和设计公司治理结构,实现价值创造提供参考和借鉴。 
英文摘要: In recent years, improving the modern enterprise system and establishing corporate governance with Chinese characteristics in the new era have become the focus of national development and enterprise practice. With the comprehensive deepening of reform and advancing into the deep water zone, as an important driving force for the development of the national economy, Chinese enterprises are facing new requirements. Corporate governance is the core content of modern enterprise systems, and is of great significance for optimizing the allocation of enterprise resources, improving operational efficiency, clarifying strategic objectives, making scientific decisions, and promoting the maximization of enterprise value. Therefore, promoting the systematization and modernization of corporate governance capabilities is a top priority for the survival and development of Chinese enterprises. At present, academic research on the impact of corporate governance on enterprise value creation has been relatively sufficient, but most of it is empirical research, lacking qualitative research based on actual case studies of enterprises. In the context of taking root in local enterprises and telling a good Chinese story, this article uses the qualitative research method of grounded theory to conduct a bottom-up analysis and research on the case company BYD, exploring the mechanism and path of value creation in its corporate governance, refining aggregate constructs using the three-level coding of procedural grounded methods, and establishing the logical relationship between constructs, And then construct a dynamic evolution model of corporate governance value creation in the context of China. The selection and formation of corporate governance is the result of the dual effects of enterprise independent choice and external constraints. At the same time, corporate governance is dynamic and needs to be adjusted accordingly with changes in enterprise strategic positioning. This study finds that when factors such as the external environment, internal resources, and managers' perceptions change, in order to better respond to market opportunities and challenges, enterprises will adjust their strategic objectives for their products or businesses. At this time, the original corporate governance model may not adapt to the new strategic direction. In such situations, enterprises will adjust their equity structure and control rights, the structure of members of the board of directors and senior management team The relationship with stakeholders, incentive and supervision mechanisms, and other corporate governance elements can obtain the resources and capabilities required for strategic development from both internal and external sources, achieve dynamic adaptation of corporate governance and strategic objectives, build sustainable competitive advantages, and then exert the value creation function of corporate governance. Based on the theory of resource based view and dynamic capability view, based on the analytical framework of "situation behavior result", and the research idea of "driving factors strategic adjustment dynamic adaptation of corporate governance competitive advantage value creation", this article takes BYD Corporation as an example to explore the logical path for corporate governance to exert its value creation function, and extracts a dynamic evolution theoretical model between the two, It provides a new theoretical mechanism explanation for the research on the value creation model of corporate governance in the Chinese context, and provides reference for Chinese enterprises on how to establish corporate governance structures and mechanisms when the internal and external environment and strategic objectives change, in order to achieve sustained competitive advantage and value creation.
